Abstract:

Předmětem této práce je problematika dílčích aspektů právní úpravy akcií jako cenných papírů a zaknihovaných cenných papírů. Autor práce si vytipoval otázky, které v teorii nejsou řešeny jednotně, a které tak mají značný výzkumný potenciál, a podrobil je výzkumu. Značnému výzkumnému potenciálu daných témat napomáhá rovněž absence či nepočetnost aktuální judikatury. Hlavními použitými metodami práce jsou metody logické, mezi které patří metody dedukce, indukce, analýzy a syntézy. Použity jsou rovněž v rámci metod srovnávacích i metoda právní komparace, včetně komparace historické. Samozřejmě v práci je jako univerzální vědecká metoda použita metoda analogie. Autor si položil devět výzkumných otázek, na které ve své práci postupně odpověděl. Uvedené výzkumné otázky jsou spojeny s některými z jednotlivých základních vymezujících prvků spojených s akciemi, kterými jsou: existence akcií jako cenného papíru, způsob technického provedení akcií, existence a použití kusových akcií, existence formy a omezení převoditelnosti zaknihovaných akcií, existence zvláštních druhů akcií a s tím spojeného řízení o určení obsahu zvláštních práv spojených s akcií. Důvodem, proč jsou předmětem výzkumu otázky spojené s jednotlivými základními prvky, je to, že tyto základní vymezující prvky podstatným způsobem zasahují nejen do práv a povinností jejich vlastníků, ale i do vlastního fungování akciové společnosti. S ohledem na skutečnost, že aktuální právní úprava často vychází z předchozí právní úpravy obsažené v obchodním zákoníku, je v práci věnována pozornost i historickým zdrojům aktuální právní úpravy. V případech, kde se to jevilo jako vhodné, doplnil autor práci o úvahy de lege ferenda. Autor práce doplnil teoretickou část i o určitý mikrovýzkum, týkající se dané problematiky druhu a formy akcií, včetně omezení jejich převoditelnosti, a skutečnosti, zda se vydávají jako cenný papír nebo zaknihovaný cenný papír, aby si ověřil, zda daná problematika má zásadní praktický dopad na praxi, či nikoliv. Výsledky svého mikrovýzkumu v práci autor vyhodnotil.

Abstract:

This thesis focuses on partial aspects of legal regulation of shares as securities and registered securities.The author selected those issues that have not been subjected to complex analysis so far, which makes them particularly challenging.The research potential is huge also due to the lack of relevant case law.The main methods used are the logical ones, which include methods of deduction, induction, analysis and synthesis. The comparative methods such as the method of legal and historical comparison respectively are used as well.However, analogy is used as a universal scientific method.The author puts forward nine research issues to deal with.These have connection with some essential defining aspects related to securites such as: the mere existence of shares as a kind of securities, technical modalities of shares, the existence and use of individual shares, the form and limitations of book-entry securities´ transferability, the existence of special classes of shares, and relevant procedures that should determinate the related specific rights.The reason a special attention is paid to issues connected with individual essential defining aspects is the fact that they affect significantly both the owners´ rights and obligations, and the functioning of the joint stock company itself. Since the current legislation is often based on previous legal regulations as stated in the Commercial Code, the thesis deals with the related historical legal background, too.Wherever the author finds it convenient, he adds his own opinions de lege ferenda. The theoretical part is supplemented with a related practical micro-research focusing on the class and form of shares, their tranferability limitations, and their nature resulting from their being issued as security, or registered security, the objective being to verify whether or not there is any practical impact whatsoever.
