Invalidity of the Resolution of a General Meeting

Abstract:

Práce popisuje institut neplatnosti usnesení valné hromady. Dílo pojednává o důvodech, pro které může být vyslovena neplatnost usnesení valné hromady napadána, jako jsou důvody, které předchází konání valné hromady, formální nedostatky při konání valné hromady i vady obsahu usnesení. Opomenut není ani soudní průběh daného řízení. Neplatnost usnesení valné hromady byla ovlivněna přijetím zákona č. 89/2012 Sb., občanského zákoníku a zákona č. 90/2012 Sb., o obchodních korporacích. Text danou právní úpravu reflektuje a hodnotí.

Abstract:

The thesis describes the institute of invalidity of General Meeting resolution. It also deals with the reasons for which the invalidity of the General Meeting resolution may be challenged, as arre the reasons that precede the general meeting, formal deficiencies in the general meeting and any flaws in resolution content. It is not omitted the course of the given judicial proceeding. The invalidity of the general meeting resolution has been greatly affected by the adoption of Act No. 89/2012 Coll., of the civil code and Act No. 90/2012 Coll., of Law on corporations ( of business corporations). The thesis reflects and evaluates the given legislation.
