Security for Commercial Contractual Obligations.

Abstract:

Účelem mé bakalářské práce je podat základní výklad právních závazkových vztahů mezi smluvními subjekty a především přehledně analyzovat jejich zajišťovací instituty používané v České Republice podle norem občanského a obchodního zákoníku, včetně znázornění jejich vzájemných obsahových vazeb mezi těmito dvěma kodexy soukromého práva. Zabývá se analýzou dostupných zajišťovacích instrumentů s tím, že výsledkem jsou doporučení, jak a v kterých případech lze daný institut zajištění nejlépe využít. Pro lepší průkaznost sdělení jsou uvedeny i příklady z praxe. Také krátce nastiňuje problematiku při uzavírání kupních smluv movitého zboží v souvislosti s doložkami Incoterms. Je to z toho důvodu, že právě ty mnohdy určují prvotní podmínky budoucího obchodu a jejich význam je v praxi bohužel stále (i když již méně) podhodnocován. V závěru je zhodnocení stávající právní úpravy zajišťovacích institutů s pohledem do budoucna, jak a proč se bude tento právní obor pravděpodobně vyvíjet, včetně závěrečných doporučení, která z dané problematiky vyplývají.

Abstract:

The objective of my bachelor paper is to provide basic interpretation of legal obligations between contracting entities and in particular to transparently analyse their securing institutes applied in the Czech Republic according to the provisions of the Civil Code and the Commercial Code including the demonstration of mutual contentual relationships between these two private-law codes. It analyses available securing instruments and leads to recommendations in terms of how and in which situations it is the best to use the concerned institute. For the sake of improved conclusiveness of provided information, I also quote examples from practice. The paper also briefly outlines the problems concerning conclusion of contracts of purchase of movable goods in connection with Incoterms clauses. This is due to the fact that these very clauses frequently determine the primary conditions of a future transaction and their importance is unfortunately still underestimated in practice (even though to a smaller extent). In the conclusion, I evaluate the current legal regulation of the securing institutes with a future prospect of the probable future development of this legal area and the reasons of such development, including the final recommendations following from the concerned problems.
