Associations with special regard to property liability of the association and its members

Abstract:

Tato diplomová práce se zabývala spolkovým právem, téma práce bylo: Spolky, se zvláštním zřetelem na majetkovou odpovědnost spolků a jejich členů. První část práce byla věnována historickému vývoji spolkového práva převážně na území českých zemí. V další části už se diplomová práce zaměřuje na současnou právní úpravu spolkového práva, která je obsažena v občanském zákoníku (zákon č. 89/2012 Sb., občanský zákoník). První kapitola se zabývá založením a vznikem spolku, jsou zde popsány podmínky, jaké je nutné splnit, aby mohl spolek vzniknout. Další kapitola se zabývá organizací spolku a rozhodováním jeho jednotlivých orgánů. Další kapitola této diplomové práce popisuje problematiku členství ve spolku, uvádí se zde principy, na kterých je spolkové právo založeno a podmínky vzniku a zániku členství. Po této kapitole následuje část, která se věnuje hospodaření spolku, zde jsou uvedeny způsoby financování spolku a uvádí se zde, jak spolek, členové jeho volených orgánů a ostatní členové ručí za dluhy spolku. Předposlední část ukazuje možnosti přeměny spolku, je zde rozebráno, jaké bude mít pro spolek a jeho členy fúze nebo rozdělení následky. Poslední kapitola se věnuje zrušení spolku s likvidací a jeho následným zrušením.

Abstract:

This thesis concerns association law and the subject of this thesis is: "Associations with Attention to the Property Liabilities of Associations and their Members." The first part of the thesis deals with historical development of association law, mostly in the territory of the Czech lands. The next part is focused on the present-day legal form of association law, which is a part of the Civil Code (law no. 89/2012 of the Collection, the Civil Code). The first chapter deals with the establishment and creation of an association. The necessary requirements are also stated. The next chapter deals with the organization of an association and decision-making of the specific bodies. The fifth chapter of the thesis describes the problematics of a membership in an association. The principles on which the association law is based and the requirements of creating and terminating a membership is being described. The following part deals with association finance management and the methods of funding of an association. It is described how the association, the elected members and other members are liable for the debts of an association. The penultimate part describes the possibilities of the transformation of an association. The consequences of a merger and division are also being described. The last chapter describes association dissolution with liquidation and the following dissolution.
