"Umbrella Clauses" as a Means of the Investor`s Protection

Abstract:

Tato bakalářská práce si klade za cíl terminologicky vymezit institut umbrella clauses, analyzovat jeho postavení v kontextu mezinárodního investičního práva a zhodnotit efektivitu jeho využití v praxi. V první a druhé kapitole práce je obsažen stručný úvod do problematiky a obecný nástin pramenů upravujících mezinárodní investice. Největší důraz je kladen na vymezení bilaterálních investičních smluv, které v sobě často mají inkorporovanou zastřešující doložku, a mezinárodních standardů ochrany investora. Podstatou následujících dvou kapitol práce je blíže definovat termín umbrella clause, její historický vývoj a osvětlit mechanismus, kterým internacionalizuje investiční dohodu. Navazující kapitola je věnována gramatickému a syntaktickému výkladu umbrella clauses. Závěrečná kapitola komparativně analyzuje dva nejsilnější interpretační proudy a indukuje jednotlivé judikáty mezinárodních investičních tribunálů, jejichž srovnání odkrývá aktuální úskalí používání umbrella clauses v praxi. V závěru práce je podáno zhodnocení efektivity umbrella clause vzhledem k ostatním způsobům ochrany investora.

Abstract:

This bachelor’s thesis aims to define terminology of umbrella clauses, to analyze its position in the context of international investment law and to evaluate the effectiveness of its utilization practically. In the first and second chapters of the thesis there is a brief introduction to the topic and general outline of sources governing international investments included. The greatest emphasis is placed on the definition of bilateral investment treaties, which often have an umbrella clause incorporated in themselves, and international standards of investor protection. The essence of these two chapters is to closer define the term of umbrella clause and its historical development to shed the light on mechanism by which the investment agreement is internationalized. The following chapter is devoted to grammatical and syntactical interpretation of umbrella clauses. The final chapter comparatively analyzes two of the strongest interpretive currents and induces various awards of international investment tribunals. The comparison reveals the pitfalls of the current use of umbrella clauses in practice. The conclusion of the thesis is evaluated the efficacy of umbrella clauses in relation to other means of investor protection.
