Consequences of breach of the duty to act with due manager's diligence

Abstract:

Diplomová práce bude věnovaná následkům porušení povinnosti jednat s péčí řádného hospodáře členů volených orgánů. První část se bude týkat obchodního vedení obchodní korporace, jehož hranice jsou nastaveny tzv. standardy péče řádného hospodáře. Tato práce se dotkne historického exkurzu tohoto pojmu, vymezení jeho rozsahu, limitů ustálených judikaturou soudů. Tato práce bude zaměřena na oblast kapitálových obchodních korporací, kde členové orgánů jsou povinni jednat v mezích standardů péče řádného hospodáře. Stěžejní částí této práce analýza vybraných soukromoprávních následků porušení povinnosti jednat s péčí řádného hospodáře jako je náhrada škody, zákonné ručení, žaloba na doplnění pasiv a v neposlední řadě také vyloučení z výkonu funkce. Na závěr této práce jsem si vybrala velmi krátkou komparaci péče řádného hospodáře a jeho dvou důsledků porušení se sousední zemí, kt. je Polsko. Výzkumná otázka pro tuto diplomovou práci zní: „Je smysluplnou sankcí vyloučení člena statutárního orgánu z výkonu funkce?“

Abstract:

This thesis will be dedicated to consequences related to breach of duty to excercise reasonable and dilligent care elected board of management. The first part will concern the area of business corporation management, which is bound by so-called duty to excercise reasonable and dilligent care. This document will touch the historical excursion related to the concept itself, it will define its scope and limits established by case law of the courts. Further this theses will focus on the area of limited companies, where all members of governing bodies are obliged to act within limits of duty to excercise reasonable and dilligent care standards. Core part of this thesis consists of the analysis of selected private-law consequences related to breach of duty to excercise reasonable and dilligent care such as damage compensation, legal liability, action to supplement liabilities and last but not least disqualification. The end of this thesis will dedicate to a short comparation of duty to excercise reasonable and dilligent care and two of their consequences of duty breach with our neighbouring country, ie. Poland. Research question is: Can we consider Disqualification as a reasonable sanction?
