Abstract:

Bachelorthesisdiscusses in detail theinstitute of the "Pactum in contrahendo"- agreement to conclude a futurecontract and isdividedintothreemainchapters. Thefirstchapter of thethesisisdevoted to thequestion of "pactum in contrahendo" undertheLaw no. 40/1964 of the Civil Code and discussestherelatedinstitutes to a contract, such as option. Thechapterincludestheconditions of termination of anobligation to conclude a futurecontract. Thesecondchaptercharacterizesthe "pactum in contrahendo" underthe Commercial Code. Sincetheregulationdescribed in the Commercial Codeislarger, thisquestionisdiscussed more in detail. Thechapteralsoincludesthecase-law of theSupremeCourt of the Slovak Republic and theSupremeCourt of theCzechRepublic, and in particular, its most importantdecisionslinked to thistopic. Besides, part of thechapterisdedicated to a briefdescription of theinstitute of forfeiture, preclusion and thetermination of obligation to conclude a contract.Thethirdchapterisdevoted to theissue of dualregulation of "pactum in contrahendo" and solvestheproblem of choice of applicationwithintheprovisions in the Civil and Commercial Code in practice. Thelastchapteralsocomparesthe major differencesbetweentheregulation of "pactum in contrahendo" in Civil Code and Commercial Code .

Abstract:

Bakalárska práca sa podrobne zaoberá inštitútom zmluvy o uzavretí budúcej zmluvy a je rozčlenená do troch hlavných kapitol. Prvá kapitola bakalárskej práce je venovaná otázke zmluvy o budúcej zmluve podľa Občianskeho zákonníka, rozoberá aj príbuzné inštitúty tejto zmluvy, ktorou je napríklad opcia. Úvodná časť zahŕňa taktiež podmienky zániku povinnosti uzavrieť zmluvu o budúcej zmluve. Druhá kapitola charakterizuje zmluvu o uzavretí budúcej zmluvy zmysle Obchodného zákonníka. Nakoľko je úprava obsiahnutá v Obchodnom zákonníku rozsiahlejšia, nasledovná kapitola je svojím rozsahom najrozmanitejšia. Druhá kapitola uvádza ustálenú judikatúru Najvyššieho súdu Slovenskej republiky a Najvyššieho súdu Českej republiky, a to najmä ich najvýznamnejšie rozhodnutia, ktoré táto kapitola predstaví. Jadro práce je zamerané tiež na stručný popis inštitútu premlčania práva na určenie obsahu budúcej zmluvy a právo na náhradu škody a zániku záväzku zmluvy o budúcej zmluve. Posledná kapitola sa venuje problematike dvojitej úpravy zmluvy a stým spojeným problémom uplatnenia výberu z úpravy v Občianskom a Obchodnom zákonníku v praxi. Tretia kapitola poukazuje najmä na hlavné rozdiely medzi úpravou zmluvy o uzavretí budúcej zmluvy v Občianskom zákonníku a Obchodnom zákonníku.
