Analysis of business transformations carried out in the Czech Republic with a focus on comparison with the IFRS concept

Abstract:

Tato práce pojednává o přeměnách společností podle české regulace a o podnikových kombinacích podle IFRS. První část práce se zabývá teoretickým vymezením hlavní problematiky a jejich stěžejních elementů, jako je průběh a právní pozadí, účetní řešení a ocenění. Druhá část obsahuje empirický výzkum založený na analýze souboru dat o přeměnách uskutečněných v České republice v letech 2020 a 2019. Stěžejním zjištěním analýzy je fakt, že drtivá většina přeměn uskutečněných v České republice je uskutečněna mezi spojenými osobami. Zásadně nejvíce proběhlo fúzí sloučením, s odštěpením na druhém místě. Účetní jednotky nemají tendenci přeceňovat jmění, pokud to zákon nevyžaduje, byť je česká regulace v tomto ohledu benevolentní a může tak být ohrožen věrný a poctivý obraz výkaznictví. Práce dále poukazuje na rozdíly mezi českou regulací a IFRS, nedostatečnou úpravu některých oblastí v českých předpisech a možnou inspiraci právě v IFRS.

Abstract:

The thesis deals with business transformations under Czech regulation and business combinations under IFRS. The first part of the thesis deals with the theoretical definition of the main issues and their key elements, such as the course and legal background, accounting methods and valuation. The second part contains empirical research based on the analysis of a dataset of transformations carried out in the Czech Republic in 2020 and 2019. The key finding of the analysis is that the vast majority of transformations carried out are between related parties. Mergers are by far the most common, with spin-offs in second place. Entities tend not to reevaluate assets and liabilities unless required by law, even though Czech regulation is insufficient in this area, thus true and fair view of financial statements may be compromised. The thesis also highlights the differences between Czech regulation and IFRS, the lack of regulation in some areas in Czech regulation and the possible inspiration by IFRS.
