Status of Creditors in Bankruptcy According to the Bankruptcy Act in Comparison with the Status of Creditors in bankruptcy according to Bancrupcy and Settlement Act

Abstract:

Předmětem této práce je komplexní přehled a rozbor postavení věřitelů v insolvenčním řízení při řešení úpadku konkursem dle zákona č. 182/2006 Sb., o úpadku a způsobech jeho řešení (insolvenční zákon), ve znění pozdějších předpisů, a nastínění posunu od úpravy konkursu provedené zákonem č. 328/1991 Sb., o konkursu a vyrovnání, ve znění pozdějších předpisů, ke kterému s účinností insolvenčního zákona došlo ohledně práv a povinností věřitelů. Závěry vycházející z této práce obsahují reflexi nevyhovující právní úpravy úpadkového řízení obsažené v zákoně o konkursu a vyrovnání, jakož i dle mého názoru poměrně komplexní vymezení nových práv a povinností věřitelů v insolvenčním řízení se zvláštním zaměřením na postavení zajištěných věřitelů. V práci je poukázáno též na problematičtější ustanovení insolvenčního zákona, která mohou vést k patovým momentům, či na možnost vzniku situací, jejichž řešení insolvenční zákon jednoznačně neposkytuje. V rámci rozboru některých z mého pohledu nepříliš vyhovujících ustanovení insolvenčního zákona se tato práce pokouší také navrhnout optimální zákonné řešení de lege ferenda.

Abstract:

As the title whereof clearly implies, the purpose of these graduation theses is to provide a comprehensive analysis aimed at the assertion of the rights and duties, such as appertained to the creditors participating in the insolvency proceedings pursuant to the Act No. 182/2006 Coll., on bankruptcy and means of resolution thereof (The Insolvency Act), effective from the 1st January 2008, in comparison with the assertion of the rights and duties, such as appertained to the creditors participating in the bankruptcy proceedings pursuant to the Act No. 328/1991 Coll., on bankruptcy and settlement (The Bankruptcy and Settlement Act), which had effectively governed any bankruptcy proceedings to have been conducted in the Czech Republic until the year’s end 2007. In these graduation theses, my particular focus is on the enhancement of the status of creditors, which has emerged as a consequence of the new legislature, where my specific attention is focused on the secured creditors, who under the new enactment have acquired certain prerogative powers, which resulted in their unprecedented strong status within the insolvency proceedings’ framework. In conjunction with the issues discussed therein, I also endeavour to point at those provisions of The Insolvency Act, which in my opinion have failed in offering an unambiguous interpretation, and whose application, therefore, may lead to an occurrence of problematically resolvable or even absurd state of affairs, as well as origination of such state of affairs, which The Insolvency Act apparently have omitted to presume and in view of which, it is, therefore, unable to provide unambiguous guidance as regards their appropriate resolution. The conclusions, such as arising from my graduation theses, include the reflection of unsatisfactory legal regulation of the bankruptcy proceedings as per The Bankruptcy and Settlement Act, as well as, pursuant to my opinion, relatively comprehensive definition of some new rights and duties, such as vested in the creditors participating in the insolvency proceedings, with the specific focus on the status of secured creditors.
