Lex mercatoria as a regulation of the relationships among international traders

Abstract:

Lex mercatoria představuje mezinárodní právní systém využívaný v mezinárodním obchodu. Tento jev můžeme nazvat také jako transnacionální právo mezinárodní smlouvy nebo mezinárodní právo obchodní. Tento systém byl znám už ve Středověku. Středověké lex mercatoria bylo používáno mezinárodními obchodníky v obchodních centrech jakým byly například Benátky. V 17. století se začaly vytvářet národní kodexy a používání lex mercatoria bylo potlačováno, ale v 19. století se mezinárodní obchod začíná znovu rozvíjet a bylo nutné vytvořit nějaký právní systém pro mezinárodní obchod a lex mercatoria bylo znovu objeveno. Nejdůležitějším kritériem lex mercatoria je, že není tvořeno státy nebo mezinárodními organizacemi, kde jsou státy členem. Tento systém je vytvářen v praxi mezinárodního obchodu. Další kritérium je, že lex mercatoria je nezávislé na politické struktuře ve státě a je tak více flexibilní. Lex mercatoria dokáže lépe reagovat na situaci na mezinárodních trzích než právo vytvářené státy. Tento právní systém není závislý na teritoriu státu. Centrem zkoumání pro lex mercatoria je smlouva. Vztah mezi smluvními stranami vytváří pravidla uvedená ve smlouvě. Jako právní systém lex mercatoria rozumíme mezinárodní obchodní zvyklosti, které můžou být vytvářeny buď pouze praxí nebo jsou formovány prostřednictvím mezinárodních obchodních organizací, jako např. INCOTERMS, dále zásady, které jsou používány v obchodě a návody jak vytvořit a napsat smlouvu. Lex mercatoria je tvořeno zvyky, které jsou používány v mezinárodním obchodě a které jsou známé pro mezinárodní obchodníky. Lex mercatoria má spoustu příznívců, ale i odpůrců. Největším problémem je alikace lex mercatoria. Záleží na státech, respektive na národních právních úpravách, jestli je možné tento systém aplikovat. Pouze málo států má právní úpravy, které umožní aplikaci přímo. Častější je situace, kdy lex mercatoria můžeme aplikovat pouze v mezích kogentních norem. To znamená, že tento nestátní systém může být použit pouze subsidiárně k národnímu právnímu systému. Také je lex mercatoria použitelné pouze pokud s tím strany souhlasí. Mezinárodní obchod je velmi specifický a potřebuje také specifický právní systém, který by mohlo vytvořit právě lex mercatoria. Ale pro tento postup je nutné, aby lex mercatoria bylo aplikovatelné nejenom v rámci národních právních řádů.

Abstract:

Lex mercatoria is en international system of rules of law in transnational commerce. It could be named like “transnational law of international contract” or “international commercial law”. This system was known already in the Middle Age. Medieval lex mercatoria was used by international businessmen in centers of commerce like was Venice. In the 17th century was made national legislatives and using of lex mercatoria was terminated but in the 19th century the international trade was grooved and it was necessary to make some rules of law of international commerce and lex mercatoria was discovered again. Most important criteria is that lex mercatoria is not made by states or international organizations which members are states. This system of rules of law is made in practice in the field of international commerce. The other criteria is that lex mercatoria is independent of political structure in states and it is more flexible. Lex mercatoria can answer to situation in international trade faster than rules of law what are made by states. This system of rules of law is not dependent of territory of some states. The center of lex mercatoria forms a contract between the parties. The relationship between the parties of contract makes rules what are in contract. Like this system of rules of law – lex mercatoria – we understand international commercial habits what could be made only in practice or formed by international trade organizations like Incoterms, principles of law what are being use in trade and guides how to make and write contract. Lex mercatoria is made by habits what are using in the international trade and what are known in community of international businessmen. Lex mercatoria has a lot of friends and supporters but a lot of opponents too. The biggest problem of lex mercatoria is his application. It depends on the states, better on national legislations, if this system of rules of law could be applicable. A few of states have new national rules of law what make possible to use lex mercatoria directly. More frequently are cases when lex mercatoria is applicable and is using only in the framework of the rules of national system of law. It means that this non-state system of rules of law is used only like subsidiary system of law. Also lex mercatoria is applicable only if the parties of the contract want to use this rules of law. International trade is very specific and need specific rules of law what should be this non-state system of rules of law known as lex mercatoria. But for this is necessary to make lex mercatoria applicable not only in the framework of national systems of law.
