Abstract:

Cílem této bakalářské práce s názvem „Role výhradního obchodního zástupce v mezinárodním obchodě na příkladu vybrané firmy“ je ukázat důležitost výhradního obchodního zástupce v mezinárodním obchodě a představit všechny aspekty jeho práce a nasazení do praxe. Pro konkretizaci práce byl jako subjekt zkoumání vybrán výhradní obchodní zástupce nizozemské firmy Amphitec B.V., která vyrábí sací a čistící průmyslová vozidla a dnes je dodává na velké množství trhů po celém světě. V rámci práce je zástupce nejdříve zkoumán po stránce právní, konkrétně v kontextu jeho smluvních vztahů se zastoupenou stranou. Tento vztah je následně pro posouzení efektivity daného případu srovnán se vzorovou smlouvou sestavenou Mezinárodní obchodní komorou. Práce dále zkoumá expanzi firmy na zahraniční trhy, a to především z pohledu interkulturních rozdílů mezi zeměmi, ve kterých působí. Důraz je kladen na rozdíly mezi Nizozemskem, jakožto domovskou zemí firmy, a Českou republikou a Slovenskem, jakožto zeměmi, kde působí prací zkoumaný zástupce. Částí práce je rovněž analýza činností, které obchodní zástupce pro zastoupenou stranu vykonává a za jejichž pomoci dosahuje uzavírání smluv s obchodními partnery. Výstupem práce je fakt upozorňující na důležitost jeho schopnosti překonávání interkulturních a jazykových bariér. Neméně důležitou se v průběhu práce také vyjevila zásoba informací o lokálním trhu, kterými zástupce disponuje, jeho role jakožto komunikačního článku mezi firmou a zákazníkem nebo fakt, že interpersonální komunikace stále ještě hraje důležitou roli nejen v obchodě.

Abstract:

The aim of this bachelor thesis entitled "The role of an exclusive commercial agent in international trade on an example of a selected company" is to show the importance of an exclusive commercial agent in international trade and to present all aspects of his work. For the purpose of specifying the work more in detail, the commercial agent of a Dutch company Amphitec B.V. was chosen. The company manufactures succion-focused and cleaning industrial vehicles. As part of the thesis, the representative is first examined in terms of the law, specifically in the context of his contractual relations with the manufacturer party. This particular relationship is then being compared to a model contract drawn up by the International Chamber of Commerce to assess the effectiveness of the case. The thesis also examines the expansion of the company to foreign markets, especially from the point of view of intercultural differences between the countries in which the company operates. Emphasis is placed on differences between the Netherlands, as the company's home country, and the Czech Republic and Slovakia, as countries where the examined agent works. Part of the work is also an analysis of activities the agent performs for the manufacturer party and for whose help it reaches contracts with business partners. The outcome of this work is a fact highlighting the importance of the agent's ability to overcome intercultural and language barriers. As equally important throughout the work also the information the agent has about the local market rose up. Nevertheless, his role as a communication link between the company and the customer or the fact that interpersonal communication still plays an important role not only in business is likewise non-negligible.
