Critical analysis of crypto assets public regulation

Abstract:

Rigorózní práce se podrobně věnuje návrhu nařízení o trzích s kryptoaktivy (MiCA), zejména pak vymezení působnosti tohoto nařízení a následně hodnocení vhodnosti a přiměřenosti navrhovaného regulatorního rámce. Práce nejprve popisuje počátky regulatorních úvah na úrovni Unie a vybraných členských států, na které navazuje formování unijního harmonizovaného přístupu a vydání návrhu nařízení MiCA. Následně je popsán samotný návrh nařízení v jeho posledním dostupném znění s důrazem na vymezení jeho působnosti a popis vzniklých regulatorních režimů. Dále se práce zaměřuje na posouzení vhodnosti navrženého regulatorního rámce, úvahám o jeho možné excesivitě v případě některých druhů nově regulovaných kryptoaktiv a služeb a použitelnosti stávající regulace z oblasti kapitálových trhů či ochrany spotřebitele. Závěrem jsou řešeny nedostatky zvolené regulatorní metody ve vztahu k regulaci nových technologií v oblasti decentralizovaných financí.

Abstract:

The thesis focuses in detail on the proposed regulation on markets in cryptoassets (MiCA), in particular on the definition of the scope of this regulation and then on the assessment of the appropriateness and proportionality of the proposed regulatory framework. The thesis first describes the origins of regulatory considerations at EU level, followed by the formation of an EU harmonised approach and the issuance of the draft MiCA regulation. It then describes the draft of the regulation itself in its latest available version, with an emphasis on defining its scope and describing the created regulatory regimes. Next, the paper focuses on assessing the appropriateness of the proposed regulatory framework, considerations of its potential excessiveness for certain types of newly regulated crypto-assets and services, and the applicability of existing capital markets or consumer protection regulation. Finally, the shortcomings of the chosen regulatory method in relation to the regulation of new technologies in the area of decentralised finance are addressed.
