Abstract:
Zákon o obchodních korporacích podmiňuje právo společníka/akcionáře dovolávat se neplatnosti usnesení valné hromady podáním protestu. Podobný institut – námitku proti usnesení členské schůze – znalo české právo již dříve, a to u družstev. Do nové právní úpravy však námitka paradoxně převzata nebyla. The Business Corporation Act limits member‘s right to sue in a court of law for invalidity of a general meeting resolution by an objection against general meeting resolution.
