The rights and duties of the members of a limited liability company

Abstract:

Společnost s ručením omezeným je na území České republiky nejčastěji zakládanou obchodní korporací. Zákon přiznává jejím společníkům celou řadu práv a ukládá jim mnohé povinnosti. Kromě toho si mohou práva a povinnosti rozšířit společenskou smlouvou (a to zejména úpravou různých druhů podílů), případně je modifikovat společnickými dohodami. V práci je rozebrána právní úprava jednotlivých zákonných práv a povinnosti společníků společnosti s ručením omezeným, se zaměřením zejména na případné nejasnosti této úpravy. Dalším okruhem je zodpovězení otázky, jaká práva lze společníkům přiznat (či odebrat) nad rámec zákonné úpravy, a to prostřednictvím společenské smlouvy či jiné dohody mezi společníky, a jaké další povinnosti jim lze takto uložit. Výzkumná otázka tak spočívá v tom, jaká další práva může společníkům přiznat společenská smlouva nad rámec práv stanovených zákonem a jaké další povinnosti jim může uložit.

Abstract:

A limited liability company is the most frequently established business corporation in the Czech Republic. The law grants its shareholders a number of rights and imposes many obligations on them. In addition, they may extend their rights and obligations by means of a memorandum of association (in particular by regulating various types of shares) or modify them by means of articles of association. The thesis analyses the legal regulation of the individual legal rights and obligations of the members of a limited liability company, focusing in particular on possible ambiguities of this regulation. Another area is to answer the question of what rights can be granted to (or taken away from) the shareholders beyond the statutory regulation by means of a memorandum of association or other agreement between the shareholders, and what other obligations can be imposed on them in this way. Thus, the research question is what additional rights may be granted to the shareholders in a shareholders' agreement beyond the rights provided for by law and what and what additional obligations may be imposed on them.
