Abstract:

Bakalářská práce „Monistický systém orgánů v akciové společnosti“ se věnuje problematice organizační struktury akciových společností v České republice v souvislosti s novou právní úpravou účinnou od 1. 1. 2014. Práce se zaměřuje konkrétně na monistický systém orgánů, který mohou zakladatelé akciové společnosti nově zvolit místo systému dualistického. V práci jsou nejdříve oba modely organizační struktury představeny a následně je provedena analýza právní úpravy monistického systému. Dále práce identifikuje hlavní výhody a nevýhody obou těchto systémů a v poslední části je provedena komparace monistického systému českých akciových společností s monistickým systémem evropské společnosti.

Abstract:

The bachelor thesis “Monistic System of Corporate Bodies in a Public Share Company” deals with the issue of organization structure of public share companies in the Czech Republic, which is connected with the new legislation applicable from the 1st January 2014. The thesis focuses particularly on the monistic system of corporate bodies, which can be newly chosen by founders of the company instead of the dualistic system. The first part of the thesis engages in the introduction of both models, in the following part the legislation of the monistic system is analyzed. Moreover the main advantages and disadvantages of both systems are identified. The last part of the thesis concerns with comparison of monistic system of corporate bodies in Czech public share companies and in the European company.
