Trade Secret

Abstract:

Pojem obchodní tajemství je v ustanovení § 17 Obchodního zákoníku vymezen několika znaky. Těmito znaky jsou: obchodní, výrobní či technická povaha posuzované skutečnosti, posuzovaná skutečnost musí souviset s podnikem, posuzovaná skutečnost musí mít skutečnou nebo alespoň potenciální materiální či nemateriální hodnotu a nesmí být běžně dostupná v obchodních kruzích a podnikatel musí projevit vůli k jejímu utajení a také utajení posuzovaných skutečností zajistit. V případě, že se všechny uvedené znaky naplní a budou nadále trvat, bude moci být skutečnost označována jako obchodní tajemství. Obchodní tajemství nelze slučovat s pojmem know-how, od kterého se velmi liší. Know-how ale může být předmětem obchodního tajemství.

Abstract:

The term trade secret is defined in provision § 17 of the commercial code by several characteristics. These features are: commercial, manufacturing or technical character of the considered fact, the considered fact must be closely related to the company, the considered fact must have real or at least potential material or immaterial value and it cannot be normally available in commercial circles and a businessman must express the will and provide a way for this fact to remain a secret. In the case that all of these conditions are met and will remain so, the fact can be considered a trade secret. The term trade secret cannot be confused with the term know-how because there are a lot of differences between these two terms. However, know-how can be the subject of a trade secret.
