Distribution of Share of Profit and Other Own Resources of a Capital Company

Abstract:

Cílem práce bylo vyzkoumat, zda v právní úpravě distribuce zisku a jiných vlastních zdrojů v kapitálových společnostech po tedy po účinnosti novely zákona o obchodních korporacích (zákonem č. 33/2020 Sb.) a zákona o evidenci skutečných majitelů (zákon č. 37/2021 Sb.), jsou či nejsou legislativní mezery, zejména oproti úpravě před účinností novely zákona o obchodních korporacích a zákona o evidenci skutečných majitelů a zda novela zákona o obchodních korporacích a zákon o evidenci skutečných majitelů nepřináší výkladové a praktické problémy. Dále se práce zajímá o odpovědnost nejvyšších, statutárních a kontrolních orgánů při rozhodování o rozdělování a vyplácení podílu na zisku a na jiných vlastních zdrojích v kapitálových společnostech. V práci jsou užity metody analýzy, syntézy, komparace, indukce dedukce.

Abstract:

The aim of the thesis was to examine whether in the legal regulation of profit distribution and other own resources in capital companies after the effectiveness of the amendment to the Commercial Corporations Act (Act No. 33/2020 Coll.) And the Act on the Registration of Beneficial Owners (Act No. 37/2021). Sb.), There are or are not legislative gaps, especially compared to the regulation before the amendment to the Commercial Corporations Act and the Act on the Register of Beneficial Owners and whether the amendment to the Act on Business Corporations and the Act on the Registration of Real Owners does not bring interpretation and practical problems. Furthermore, the work is interested in the responsibility of the highest, statutory and supervisory bodies in deciding on the distribution and payment of shares in profits and other own resources in capital companies. Methods of analysis, synthesis, comparison, induction of deduction are used in the work.
