Abstract:

Předmětem bakalářské práce „Fúze a ochrana věřitelů“ je analýza problematiky ochrany věřitelů při jednom z typů přeměn obchodních společností, a to při fúzi. První část je zaměřena na vymezení základních pojmů. Druhá část popisuje teoretické pojetí fúzí, jejich dělení a především jednotlivé kroky v procesu fúze. Ve třetí části je charakterizován pojem věřitel a nástroje ochrany, které mu zákon o přeměnách obchodních společností poskytuje, a následně jsou popsány způsoby vedoucí k uspokojení věřitelových pohledávek. Poslední, praktická část se zabývá dotazníkovým šetřením a analýzou jeho výsledků.

Abstract:

The subject of the thesis “Mergers and protection of creditors” is to analyze the issues of protection of creditors in one of the types of companies conversion, and that the merger. The first part is concentrated on the definition of basic terms. The second part describes the theoretical concept of mergers, its division and primarily each step in the merger process. In the third part is characterized the term of creditor and the protection tools, which the Law on transformation of companies makes available, and afterwards the ways, which lead to the satisfaction of claims of creditors, are described. The final practical part deals with survey and with the analysis of results.
