Proceedings for invalidation of a resolution of the general meeting

Abstract:

Primárním cílem této diplomové práce je popsat procesní aspekty soudního řízení o vyslovení neplatnosti usnesení valné hromady a rovněž zanalyzovat judikaturu, která z tohoto typu soudního řízení vzešla nebo která se na něj přímo vztahuje. Další neméně podstatný cíl této diplomové práce je rozebrat právní úpravu vztahující se k neplatnosti usnesení valné hromady a taktéž úpravu samotného nejvyššího orgánu obchodní korporace s hlavním zaměřením na kapitálové obchodní společnosti, ačkoliv je za účelem vzájemného porovnání v několika málo případech v této práci odkazováno i na právní úpravu družstev. Text diplomové práce je rozdělen na šest hlavních kapitol (včetně úvodu a závěru), které jsou dále rozčleněny na jednotlivé podkapitoly. Napříč celou diplomovou prací je rozebírána dosavadní soudní rozhodovací praxe vztahující se k tématu dané kapitoly či podkapitoly. V závěru je uvedeno celkové shrnutí procesních aspektů popisovaného soudního řízení a názor autora, k čemu by obsah diplomové práce mohl posloužit. Stěžejními zdroji této práce jsou zejména aktuálně platné a účinné právní předpisy, komentářová a odborná literatura, případně i odborné články pojednávající o tématu této diplomové práce a taktéž dosavadní judikatura.

Abstract:

The primary objective of this thesis is to describe the procedural aspects of the proceedings for invalidation of a resolution of the general meeting and also to analyse the case law that has arisen from this type of proceedings or that is directly related to it. Another equally important objective of this thesis is to analyse the legislation related to the invalidity of a resolution of the general meeting and also the regulation of general meetings of capital companies, although for the purpose of comparison, reference is also made in a few cases to the legislation on cooperatives. The text of the thesis is divided into six main chapters (including the introduction and conclusion), which are further subdivided into individual subchapters. Throughout the thesis, the existing case law relating to the topic of the chapter or subchapter is discussed. In the conclusion there is a general summary of the procedural aspects of the described court proceedings and the author's opinion on what the content of the thesis could be used for. The main sources of this thesis are in particular the currently valid and effective legal regulations, commentary and professional literature, as well as professional articles dealing with the topic of this thesis, and also existing case law.
