Signing the Bill of exchange and Promissory Note

Abstract:

,,Tak malý kousek papíru a tak velké problémy může způsobit.“ To byla první věc, která mě napadla při setkání se směnkou. Je zajímavé, že směnka může způsobit problémy nejen tomu, kdo ji podepsal, ale také těm, kterým má být plnění z ní vyplaceno, pokud nedodrží určité (většinou dosti striktní) požadavky. Podpisy na směnce, které jsem si vybrala jako téma své práce, jsou klíčovou náležitostí vytvářející platnou směnku. Rovněž si musíme uvědomit, že podpis u směnky neznamená pouze závazek a právo, ale zároveň bývá i ukončením textu směnky, v určitých situacích umístění podpisu rozhoduje i o povaze a druhu závazků a ani použití mechanického podpisu a podpisu vlastnoručního není zcela náhodné a svévolné. V neposlední řadě jsem téma podpisů na směce zvolila proto, že jsem se směnkami a podpisy na nich setkala díky své praxi. Společnost, ve které pracuji, využívá směnky již deset let jako nástroj zajištění pohledávek. Proto zde mohu pozorovat určité změny (a podotýkám, že se jedná o změny k lepšímu) jak ve způsobu jejich vyplňování, tak v celkové manipulaci se směnkami. V rámci jiné praxe jsem se pak setkala i se situací, kdy tzv. art agentura nechávala své klientky – modelky - podepisovat směnku jako záruku pro výhradnost zastupování a sjednávání angažmá. Práci jsem rozdělila do několika kapitol: v první se zaměřím na vysvětlení základních náležitostí směnky a základních principů směnečného práva. V další pak pojednám o všeobecné funkci podpisu, o srovnání formálního a materiálního náhledu na platnost podpisů a na podpisy jednotlivých osob na směnce se vyskytujících. Ve třetí kapitole se budu zabývat vadami podpisů a námitkami proti nim, ve čtvrté pak právní subjektivitou v rámci několika právních odvětví a zastoupením při podpisu směnky, což je významné pro posouzení materiální platnosti podpisu na směnce. V poslední páté kapitole se budu věnovat srovnání mezi úpravou českou, německou a angloamerickou, neboť i přes existenci JSŘ zavazujícího většinu evropských států, existují v právních úpravách jednotlivých států významné rozdíly - zvláště v případě angloamerické úpravy je vývoj právní úpravy a judikatury zcela odlišný od ostatních evropských právních systémů.

Abstract:

In this work I wanted to show some aspects of usefulness od signatures on the bill. In first chapter of this document I describe history and progress of this institute from history until now. Next things which i described were the kinds of the bills and their features. Second part I dedicated different styles of signtures. In general part i weigh the signatures of different members of bill ships. I weigh the formal and material site of signatures and reasons of their invalidity. The close of this chapter is, that the bill could be valid in spite of the bill has the material faults. The question of valid is not same as quastion of the claimable. In case that the bill has the formal fault, it is almost impossible to speak about valid bill. This rule is valid for the signature of the promisor. In other cases ( members of bill's ships) this rule is replenished with the rule about independancy of signatures. Of course we could find some exemption from this rule. This exemption is relationship in bill's aval. Here is the proof of affirmation, that material fault couldn't means invalid bill. In this case the bill risk of the bill's sponsor has duty to fill the debt for pledger in spite of that pledger's signature is not valid( from material aspect). This all part is dedicated this signature and his look. The base rules are same for every kinds of signatures. They are different their location and we could say, that their location specify their importance. I made little trip to the distraint law and his impact on valid of bills. The conclusion of my small trip, that here is necessary to classify on material and formal aspect. The bill in insolvence proceeding is not invalid. From formal aspect is existing but from material aspet is the bare debt. Very importan is view of another creditors of insolvence proceeding and their feeling of damages for valid of bill. Next part is about kinds of invalidity of bill and objections aganist invalidity. The SŠZ speaks about reasons of invalidity in article I.§7. In topic of the objections a describe the kinds of objections and the basic fragmentation on the absolute objections and the relative objections. This fragmentations I use with formal and material fragmentation of faults of bills and theiruse in every bill's relationships from accept until endorse. Because this topic is very all-embracing, I reccomend to look in the chapter 3. In chapter 4 I peruse the legal subjectivity of the abonents of bill's relationships. I appeared form three law documents- the Commercial law, the Civil Code and the Bill Law. I compare look on all form ( natural person and person of law) of subjectivity from every one. The question of subjectivity of of the abonents of bill's relationships has the ground in the Civil code and it is complemented by the Commercial law. I dedicate this chapter because it was the openning for next topic and it was the signatures of the person to authorize to sign and the conseguences the exceeding of this authorize or the act this person without the authorize to sign. At least i compare the US and European modofications of the authorize to sign and i can tell, that Us modification is more open-minded and the concept of the sign is wider then European concept. It is connected with different ethic progress in commercial law, in commercial custom in this territory. I hope that my work could be the little instriction for everyone, who will want to enter to bill's realtionships and it help him to use this law for success in his business.
