Future of intra-EU protection of investments following Agreement for the termination of Bilateral Investment Treaties between the Member States of the EU

Abstract:

Diplomová práce se zabývá možným budoucím rámcem ochrany intra-unijních zahraničních investic po Dohodě o ukončení platnosti dvoustranných dohod o investicích mezi členskými státy EU, je snaha zjistit, zda po ukončení platnosti těchto dohod vznikla trhlina v právech intra-unijních investorů, a jak ji případně vyplnit. Nejdříve je zkoumáno, zda režim ochrany dle dvoustranných investičních dohod chrání stejný předmět jako právo EU, jinak řečeno, jak každý z režimů vymezuje pojem investice. Následně jsou vymezeny běžně zakotvené záruky ve dvoustranných investičních dohodách a jsou srovnány s právy poskytnutými právem EU. Práce pak přechází k zjištění postoje ke kompatibilitě a ekvivalenci poskytnutých práv těchto dvou režimů pohledem investičního tribunálu. Uveden je taktéž rozsudek Soudního dvora Evropské unie, ve kterém vyslovil nekompatibilitu těchto dohod. V návaznosti přechází pozornost k ujednání členských států, kterým upravily své mezinárodní závazky, konktrétně je věnováno zániku dvoustranných dohod a úpravě arbitrážních řízení z nich vycházejících. Na základě výše uvedeného je zhodnocena úroveň ochrany intra-unijních zahraničních investic bez existence dohod a představeny jsou možné budoucí legislativní kroky na tomto poli, zejména zakotvení investičního soudu pro intra-unijní zahraniční investice.

Abstract:

The thesis explores a possible future framework for the protection of intra-EU foreign investments after the Agreement for the termination of Bilateral Investment Treaties between the Member States of the European Union and seeks to determine whether a gap in the rights of intra-EU investors has been created after the termination of these agreements and if so how to fill it. First, it is examined whether the protection regime under BITs protects the same subject matter as EU law, in other words, how each regime defines the concept of investment. Then, the safeguards commonly enshrined in BITs are defined and the rights granted in the EU law are compared. The paper then proceeds to establish the position on the compatibility and equivalence of the rights granted by the two regimes through the lens of the investment tribunal. The judgment of the CJEU in which it pronounced the incompatibility of the agreements is also presented. The focus then shifts to the arrangements made by Member States to regulate their international obligations, particularly the termination of bilateral agreements and the regulation of arbitral proceedings based on them. On the basis of the above, the level of protection of intra-EU foreign investment without the existence of agreements is assessed and possible future legislative steps in this field are presented, in particular the establishment of an investment court for intra-EU foreign investment.
