Abstract:

Tato diplomová práce rozebírá a poukazuje na význam malého a středního podnikání v ekonomice každého stáítu. V teoretické části jsou popsány procesy, které podnikatel musí udělat při založení podniku jako: volba živnosti, právní podoby podniku, vhodná kapitálová struktura podniku atd., jaká rozhodnutí by měl udělat, aby podnik byl schopen fungování v období před úhradami prvních faktur a co může očekávat od správné finanční analýzy podniku. Pokud je podnik úspěšný, dosahuje růstu, který může vycházet z mnoha aspektů a o podnik se začnou zajímat potenciálaní investoři a před samotným spojením podniku dochází k ocenění podniku. V praktické části je pro skutečnou představu popsáno fungování existujcícího podniku, který se přes těžké začátky rozrostl ve stabilní a silnou společnost, spojil se se strategickým partnerem a stává se důležitým hráčem na trhu.

Abstract:

This thesis examines and highlights the importance of SMEs in the economy of each State. In the theoretical section thesis describes the processes that an entrepreneur has do when settest up a new business such as: selection of the business, legal form of company, the appropriate capital structure, etc., which decision should make the entrepreneur that the company is able to go right in the first period before the first invoices had been settled up and what may entrepreneur expect from good financial analysis of company. If the company is successful, achieved growth, which may be based on many aspects and the potencial investors will be interested of the company and before the consolidation of corporations is the process of the valuation of the company. The practical part of thesis is based on the functioning company which, despite of difficult beginnings grew in a stable and strong company, consolidate with strategic partner and becomes a major player of the market.
