Monistic structure of joint-stock company

Abstract:

Cílem mé diplomové práce je nalézt odpověď na otázku, zda může monistický systém vnitřní struktury akciové společnosti reprezentovat jednodušší a méně nákladný model řízení společnosti, který by mohl být užitečný a prospěšný především pro menší, rodinné společnosti. Dalším cílem mé diplomové práce je vyzkoumat, jaké jsou hlavní rozdíly mezi novou a starou právní úpravou v oblasti monistické struktury akciové společnosti. Ráda bych také nalezla odpověď na otázku, jaké jsou hlavní rozdíly v oblasti fungování monistického systému vnitřní struktury akciové společností podle francouzského obchodního práva ve srovnání s právem českým. Také bych ráda vyzkoumala, zda je povinná kodeterminace zaměstnanců při volbě členů správní rady v akciových společnostech s monistickou vnitřní organizační strukturou. V první části se stručně věnuji historii, vymezení základních pojmů a vymezení právního rámce fungování akciové společnosti. Ve druhé části analyzuji systém vnitřní struktury akciové společnosti, kde je rozebrán monistický a dualistický systém vnitřní organizační struktury akciové společnosti. Ve třetí, stěžejní části, je detailně analyzován monistický systém fungování akciové společnosti. Ve čtvrté části je uveden výsledek výzkumu v uplatňování monistického systému u konkrétní akciové společnosti, ověření naplňování stanovených zásad a právního rámce v praxi. Pátá část je věnována analýze systému vnitřní organizační struktury akciové společnosti ve Francii a komparaci s českým právním řádem. V poslední části mé diplomové práce je uvedeno shrnutí provedeného výzkumu a předmětu mé diplomové práce, zodpovězeny výzkumné otázky a potvrzeny nebo vyvráceny pracovní hypotézy

Abstract:

The aim of my thesis is to find an answer to the question of whether the monistic system of the internal structure of a joint stock company can represent a simpler and less expensive model of corporate governance, which could be useful and beneficial especially for smaller, family companies. Another goal of my thesis is to examine the main differences between the new and old legislation in the field of monistic structure of a joint stock company. I would also like to find an answer to the question of what are the main differences in the functioning of the monistic system of the internal structure of joint stock companies under French commercial law in comparison with Czech law. I would also like to examine whether employee co-determination is mandatory when electing board members in joint-stock companies with a monistic internal organizational structure. In the first part I briefly deal with the history, definition of basic concepts and definition of the legal framework for the operation of a joint stock company. In the second part I analyze the system of internal structure of a joint stock company, where the monistic and dualistic system of internal organizational structure of a joint stock company is analyzed. In the third, key part, the monistic system of the joint stock company is analyzed in detail. The fourth part presents the result of research in the application of the monistic system in a particular joint stock company, verification of compliance with the established principles and legal framework in practice. The fifth part is devoted to the analysis of the system of internal organizational structure of a joint stock company in France and a comparison with the Czech legal system. The last part of my diploma thesis contains a summary of the research and the subject of my diploma thesis, answered research questions and confirmed or refuted working hypotheses.
