Abstract:

Disertační práce se zaobírá problematikou právní úpravy poskytovatelů investičních služeb, především směrnicí o trzích finančních nástrojů ("MiFID"). Cílem práce je vyhodnotit hlavní změny vyplývající z transpozice MiFID v oblasti investičních služeb a soukromoprávní a veřejnoprávní aspekty právní úpravy investičních služeb. Klíčové oblasti této práce pojednávají o obezřetnostních pravidlech a o pravidlech jednání k zákazníkům. Především jsou analyzovány instituty zajišťující dosažení adekvátní úrovně ochrany investorů, jako jsou například kategorizace zákazníků, hodnocení vhodnosti a přiměřenosti, pravidla provádění pokynů za nejlepších podmínek. Dále je provedeno vyhodnocení problematiky smluvních vztahů mezi poskytovateli investičních služeb a jejich zákazníky. Další část práce se věnuje otázkám soukromoprávního a veřejnoprávního charakteru právní úpravy investičních služeb. Zejména jsou diskutovány otázky veřejnoprávní a soukromoprávní odpovědnosti a příslušné nástroje k prosazování práva. Diskutována je též problematika mimosoudního řešení spotřebitelských sporů v oblasti investičních služeb. Dále je podán přehled očekávaného vývoje v oblasti investičních služeb. Hlavní závěry práce ukazují na skutečnost, že jak obezřetnostní pravidla, tak zejména pravidla jednání se zákazníky sledujíc určité specifické společenské cíle. Především je zde výrazný veřejný zájem na řádném fungování kapitálového trhu. Na druhou stranu právní úprav investičních služeb rovněž vytváří prostor pro realizaci příslušných individuálních zájmů. Vzhledem k tomu, že unijní právní úprava sleduje jako svůj primární cíl prohloubení evropské integrace, je zde určitá poměrně přirozená tendence k preferenci veřejnoprávní úpravy harmonizovaného unijního práva, neboť tento přístup je relativně snazší sledovat a prosazovat. Nicméně v poslední době je zde určitý posun k soukromoprávním nástrojům k vynucování harmonizované právní úpravy zejména cestou posilování mimosoudního systému řešení spotřebitelských sporů.

Abstract:

The thesis deals with legal framework for provision of investment services. Main focus is on analysis of transposition of the Markets in Financial Instruments Directive ("MiFID"). The aim of the thesis is to assess main changes implied by the transposition of the MiFID in the area of investment services and private and public law features of the investment services legislation. Key areas of the thesis deal with prudential rules governing investment firms and conduct of business rules. Specific provisions introduced to achieve an adequate level of investor protection are analysed in detail - in particular client classification, suitability and appropriateness test and the best execution as well as contractual relationships between providers of investment services and their clients. Further analysis of public and private law aspect of the legal framework for provision of investment services is provided. In particular issues of public and civil law liability, and relevant enforcement tools are discussed. Specific attention is given to the out-of-the-court consumer redress arrangements. Recent legislative initiatives in the field of investment services are outlined as well. Main conclusions are that the conduct of business rules and prudential rules governing provision of investment services aim to achieve certain social goals. There is strong public interest in proper functioning of the capital market. On the other hand these rules also create framework for realisation of private interests as well. Given the fact that the union acquis primarily focus on deepening of the European integration there is certain immanent tendency to prefer a public law method of implementing directives as this approach may be relatively easier to monitor and enforce. To some extend contrary there is a significant shift to private enforcement of the harmonised laws while promoting out-of-the-court consumer redress procedures in the recent years.
