The status of the freight forwarder in procuring and implementation of freight transport of goods – Czech, Slovak and Austrian legislation

Abstract:

Autorka se ve své práci s názvem „Postavení zasílatele při obstarání a provedení nákladní přepravy zboží - česká, slovenská a rakouská právní úprava“ zabývá problematikou týkající se zasílatelství jakožto jednoho z institutů obchodního práva. V předkládané práci se autorka zabývá právy a povinnostmi zasílatele při obstarání nákladní přepravy zboží, tak i postavením zasílatele při provedení takové přepravy, a to jak z pohledu práva českého, slovenského, tak i práva rakouského. Pozornost je zaměřena především na problematiku odpovědnosti zasílatele při výkonu jeho činnosti, a s tím související možné následky porušení jeho povinnosti, přičemž v tomto kontextu je velmi aktuální otázka sjednávání tzv. přejímacích (pevných) sazeb se zasílatelem a z takového ujednání rezultující rozsah odpovědnosti zasílatele, kdy dle některých právních názorů v české odborné veřejnosti by v takovém případě měla být odpovědnost zasílatele posuzována jako odpovědnost dopravce, dle některých právních názorů však pouze nadále jako odpovědnost zasílatele. Pokud jde o řešení uvedené otázky ve slovenském právním řádu, z dostupné literatury a judikatury nikterak nevyplývá, že by problematika sjednávání přejímacích sazeb byla v současné době aktuální otázkou slovenského práva, proto ani nelze zaujmout stanovisko k právním názorům slovenské odborné veřejnosti. Naopak, v Rakousku zákonodárce jednoznačně stanovil, že pokud se zasílatel a odesílatel dohodli na určité pevné výši odměny za obstarání přepravy, vstupuje zasílatel výlučně do práv a povinností dopravce. Autorka studiem všech třech právních úprav dospěla k závěru, že sjednávání pevných sazeb za obstarání přepravy zasílatelem není v praxi výjimečné, a proto se kloní k názoru, že postavení zasílatele nelze automaticky „přeřadit“ do postavení dopravce, a to pouze na základě skutečnosti, že byla sjednána odměna za obstarání přepravy ve výši pevné sazby. Předmětem autorčina zájmu je dále podpůrná aplikace ustanovení o smlouvě komisionářské na smlouvu zasílatelskou především z hlediska českého práva, a s tím související povinnost zasílatele podávat příkazci o výsledku činnosti zprávu či povinnost zasílatele vymáhat na účet příkazce splnění závazků. Nesplnění této povinnosti totiž přiznává příkazci právo domáhat se splnění závazků z přepravní smlouvy přímo na zasílateli. V předložené práci byla kriticky rozebrána veškerá dostupná rozhodnutí Nevyššího soudu ČR k uvedené problematice, přičemž autorka dospěla k závěru, že uvedená rozhodnutí nejsou v tomto směru precizní a opět nastolují některé vybrané otázky. Autorka rovněž v předkládané práci neopomněla věnovat pozornost podmínkám udělení zasílatelské živnosti subjektu, který má zájem na provozování zasílatelské činnosti. Ve srovnání se slovenskou a rakouskou právní úpravou bylo zjištěno, že česká právní úprava jako jediná umožňuje získat podnikatelské oprávnění v tomto směru v rámci živnosti volné, ke které není ve smyslu ŽZ třeba zvláštní odborné způsobilosti, ale jen splnění všeobecných podmínek provozování živnosti podle ŽZ. Na Slovensku, stejně tak i v Rakousku, jsou na výkon zasílatelské činnosti kladeny větší odborné nároky, kdy zasílatelská živnost je živností vázanou a před zápisem do živnostenského rejstříku je nutno splnit stanovené odborné předpoklady (např. vzdělání v příslušném oboru). Autorka ve vztahu k výše uvedenému tak dospěla k závěru, že právní úprava v České republice v tomto směru skýtá zřejmé nedostatky, kdy s cílem zvýšit odbornost a tím i kvalitu služeb poskytovaných zasílateli by mělo dojít

Abstract:

ke zpřísnění kritérií vyžadovaných pro získání živnostenského oprávnění v oboru zasílatelství. V neposlední řadě autorka celkem rozsáhle odkazuje na existenci zájmových sdružení jak v České republice, na Slovensku, tak i v Rakousku, jejichž předmětem činnosti je podpora subjektů podnikajících v oblasti zasílatelství, a které svou činnosti zasahují do legislativního procesu ve vztahu k zasílatelství, a které přispívají ke zvyšování kvality poskytovaných zasílatelských služeb na území všech třech uvedených zemích. Uvedené organizace, ve snaze vyplnit zákonné mezery a doplnit nedostatečnou právní úpravu, rovněž publikují všeobecné zasílatelské podmínky. V tomto směru autorka dospěla k závěru, že všeobecné zasílatelské podmínky publikované Svazem spedice a logistiky Česká republika jsou ve srovnání se zasílatelskými podmínkami publikovanými na Slovensku i Rakousku nejméně rozsáhlé, přičemž jejich právní závaznost stejně tak jako závaznost slovenských zasílatelských podmínek je ve srovnání s rakouskou úpravou, kdy těmto byla na základě vyvinuté judikatury přiznána de facto síla právního předpisu, velmi omezená. Závěrem lze konstatovat, že česká právní úprava má v oblasti úpravy institutu zasílatelství určité nedostatky, které se do současné doby nepodařily odstranit ani judikaturou, ani ne příliš publikovanými právními názory odborné veřejnosti. Autorka dospěla k závěru, že ke změnám v české právní úpravě by mělo dojít novelizací ObchZ spolu s novelizací ŽZ, přičemž inspiraci by český zákonodárce mohl hledat například ve slovenské či rakouské právní úpravě, které jsou české právní úpravě jak historicky, tak i geograficky velmi blízké. Novelizovány by tak měly být například podmínky pro udělení živnostenského oprávnění k provozování zasílatelské činnosti stanovené ŽZ či by měla být podrobněji upravena problematika odpovědnosti zasílatele ve vztahu ke sjednávání přejímacích sazeb. V návaznosti na výše uvedené tak vyvstává mnoho otázek, které je nutno v současné době řešit.

Abstract:

The author in her thesis with the topic “The status of the freight forwarder in procuring and implementation of freight transport of goods – Czech, Slovak and Austrian legislation” deals with the issue concerning the forwarding as one of the institutes of business law. In the present work, the author covers the rights and obligations of the forwarder when procuring the freight transport of goods as well as their status in the course of it, and this from the view of the Czech, Slovak as well as Austrian law. The attention is primarily given to the issue of the forwarder’s liability during the transaction of their business and with this associated potential consequences of a breach of their obligations. In this context, the question of negotiation of so called accepted (fixed) rates and from such arrangements resulting range of liability of the forwarder when, according to some legal opinions of Czech professional public, the responsibility of the forwarder should be treated as the responsibility of the carrier, according to other legal opinions, it should be treated only as a liability of the forwarder. Regarding to solution of this issue in Slovak legal order, it does not arise from the literature and judicature that the issue of negotiation of accepted rates would currently be any current topic of the Slovak law, therefore, one can not express their opinion on the legal views of Slovak professional public. On the contrary, the Austrian legislature expressly stated that in case the forwarder and the carrier agreed on a certain amount of remuneration for the provision of the transport, the forwarder shall enter exclusively to the carrier´s rights and duties. The author, through the study of all three legal orders, came to the conclusion that the negotiation of fixed rates for provision of transport is not an exceptional practice, and she inclines to the view that the status of the forwarder cannot automatically be “changed” to the status of the carrier, and this only on the basis of the fact that it was negotiated a remuneration for the provision of the transport in a concrete amount of the fixed rate. The subject of the author’s interest is further a supporting application of the provision of consignment contract to the forwarding contract primarily from the Czech law point of view, and the related obligation of the forwarder to report the mandator the results of the business or the duty of the forwarder to enforce the compliance with the obligations to the mandator´s account. Failure to comply with this obligation admits the mandator the right to claim the fulfillment of the duties for the contract of carriage directly on the forwarder. In the present work, all available decisions of the Supreme Court of the Czech Republic have been critically analyzed and the author concluded that the mentioned decisions are not precise in this matter and they, again, raise certain questions. Neither failed the author of the presented to pay attention to the conditions for granting of the forwarding trade license to the subject which is interested in running the forwarder business. In comparison to the Slovak and Austrian legislation, it was found that only the Czech law allows to get a business license in this matter as an unqualified trade to which, in accordance with the Act to Regulate Trades, it is not necessary to have any special professional competence, only the fulfillment of the general conditions of the operation of trade according the above mentioned Act is needed. In Slovakia as well as in Austrian, there are higher professional competences needed for the performance of the forwarder business, when the forwarder trade is a professional trade and prior to the entry in the trade register it is necessary to meet the professional requirements (e.g. education in the given field). ect, when, with the goal to increase the expertise and quality of the services offered by forwarders, the criteria required to obtain the license in the forwarder field should be tighten. Finally, the author quite extensively refers to the existence of interest groups in the Czech Republic as well as in Slovakia and Austria, whose purpose is to support the subject operating in the forwarding field, and whose activities interfere with the legislative process in relation to forwarding and which also contribute to improving the quality of forwarding services in the territory of all three countries. These organizations, in attempt to fill the gaps and to supplement the inadequate legislation, also publish general forwarding conditions. In this matter, the author concluded, that the general forwarding conditions published by the Association of the Forwarding and Logistic of the Czech Republic are, in comparison to those published in Slovakia or Austria, the least extensive and their legal liability as well as the liability of the Slovak forwarding requirements are, in comparison to Austrian legislation, very limited. In Austria, the forwarding conditions are given de facto the power of legal act as there is more developed case law. In conclusion, it could be stated that the Czech legislation has certain shortcomings in terms of the institute of forwarding, which until now were not removed either by judicature or not much published legal opinions of the professional public. The author concluded that the changes in the Czech law should be made by the amendment to the Business Code together with the amendment to the Act to Regulate Trades and the inspiration for the Czech legislator can be found for example in Slovak or Austrian legislation, which both are very close historically and geographically to the Czech one. The amended matters should be for example the requirements for the forwarding trade set in the Act to Regulate Trades or the issue of the forwarders liability in regards to the negotiation of the accepted rates should be adjusted in details. Following the above, many questions raise and there is a need to handle them in the current time.
