Legal regulations of European kooperative society

Abstract:

Bachelor thesis deals with legal regulations of European cooperative society, which is deeply analyzed. It also deals with a detailed structure of European cooperative society and closer characteristics of establishment and abolishment of European cooperative society, authorities of european cooperative society and other legal regulations. The thesis is divided into three chapters, which include subchapters. The first chapter focuses on birth and development of cooperative society and basic features concern European cooperative society as establishment and charters. The second chapter analyzes two types, which manages European cooperative society and the third chapter concerns a membership and abolishment of Europen cooperative society. The thesis mostly points at deficiency of specific legal regulations of European cooperative society, because legal regulations of that kind of doing business in most of cases refers to a legal regulations of cooperative society and public limited company.

Abstract:

Bakalárska práca sa zaoberá právnou úpravou európskeho družstva, ktorá je v práci hlbšie rozanalyzovaná. Rovnako sa venuje podrobnej štruktúre európskeho družstva a bližšej charakteristike vzniku a zániku európskeho družstva, orgánom európskeho družstva a ostatným právnym náležitostiam. Práca je rozdelená na tri kapitoly, ktoré zahŕňajú aj podkapitoly. Prvá kapitola je zameraná na vznik, vývoj družstva a základné charakteristiky týkajúce sa európskeho družstva ako založenie a stanovy. Druhá kapitola analyzuje dva typy, ktorými sa európske družstvo môže spravovať a tretia kapitola sa týka členstva a zrušenia európskeho družstva. Práca poukazuje predovšetkým na nedostatok špecifickosti právnej úpravy európskeho družstva, pretože legislatíva tejto formy podnikania odkazuje vo väčšine prípadov na právnu úpravu družstva a akciovej spoločnosti.
