Liability of a Board of Directors and Business Judgement Rule

Abstract:

Práce se věnuje analýze budoucí právní úpravy pravidla podnikatelského úsudku v zákoně o obchodních korporacích. Cílem práce je zjistit, zda se novou právní úpavou podstatně změní rozhodovací praxe českých soudů. Dalším cílem práce je zhodnotit, do jaké míry odpovídá pravidlo podnikatelského úsudku své ideové předloze ve Spojených státech Amerických. Po úvodu jsou první dvě části práce zaměřeny na analýzu Business Judgement Rule ve Spojených státech, triádu fiduciárních povinností a základní výstupy těchto povinností. Další část práce představuje dosavadní právní úpravu péče řádného hospodáře a srovnává ji s úpravou ve Spojených státech. V předposlední kapitole je stručně pojednáno o právní úpravě Business Judgement Rule v Německu. Závěrečná část práce je věnována analýze budoucí právní úpravy dle zákona o obchodních korporací, a to na základě nabytých poznatků z předchozích kapitol. Závěr práce shrnuje odpovědi na základní dvě hypotézy práce.

Abstract:

The thesis is focused on the upcomming incorporation of the Business Judgement Rule into the Code of Commercial Corporations. The aim of the thesis is to find out, whether the Business Judgement Rule will substantially change the Czech court's judicial decisions. Next aim is to assess how the Czech Business Judgement Rule is similar to its ideological pattern in the United States. After short introduction, the first two parts of the thesis focuses on the analysis of the Business Judgement Rule in the United States, triad of the fiduciary duties and essential results of those duties. Next part of the thesis deals with the current law in the Czech Commercial Code and duty of care. It compares the Czech duty of care with the law in the United States. The last but one part briefly points out on the differences in the German law. The final part of the thesis analyze the Business Judgement Rule in the Code of Commercial Corporations with the help of all the opinions and case-law from previous parts of the thesis. The conclusion of the thesis summarizes the answers on the hypothesis placed in at the beginning.
