The Z-E.M.O.S. trading s. c. Partial Enterprise Sale Project, it´s Financial and Tax Impact on the Company

Abstract:

Cílem této diplomové práce je zpracování projektu prodeje části podniku Z-E.M.O.S. trading a. s., jeho finanční a daňový dopad. V teoretické části se zabýváme podnikáním, jeho smyslem a účelem, formami podnikání a přeměnami společností. V praktické části se zaměříme na krátké představení společnosti, seznámení s historií, vývojem a současností. Dále navazuje SWOT analýza, stručná analýza hospodaření a finanční analýza za dvě předchozí účetní období. Následuje projekt převodu maloobchodních provozoven na franšízový model, který je převodovým můstkem k další přeměně, jeho finanční a daňový dopad, přínos pro vlastníka. Hlavním výsledkem práce je tedy vytvoření projektu prodeje části podniku a jeho ověření.

Abstract:

The aim of this diploma work is an elaboration of a partial sell-off project of Z-E.M.O.S. trading a. s. a joint-stock company, it's financial and tax impact. In the theoretical part we examine the enterpreuneurship itself, it's meaning and purpose, forms of business and company transformations. The practical part then covers a short presentation of the company, it's history, development and current situation, which is followed by the SWOT analysis, a brief analysis of the economic situation and a financial analysis for the previous two accounting periods. Following these two parts the thesis then describes a project of a retail to a franchise transformation including it's financial and tax impact. This then takes us to the preparation of the business partial sell-off project itself, the defining of the object to sell, price fixing, financial and tax impact, shareholder benefits. The main outcome of this thesis is a composition of the partial enterprise sell-off project and it's verification.
