Tématem práce jsou tzv. dohody společníků, na které je v rámci práce nahlíženo z pohledu závazkového a korporačního. Práce se zabývá teoretickou otázkou rozdílu mezi ujednáními korporačního a závazkového charakteru, na které navazuje praktickými otázkami s tím spojenými. Věnuje se tak zejména otázkám umístění konkrétních ujednání do společenské smlouvy a do dohody společníků. Nadto se pak zabývá následkům …more

This thesis focuses on the matter of shareholders' agreements which are analysed from the point of contractual and statutory regime.
