Contractual Fine and Delay Interest and their Impact on Contract Compliance

Abstract:

In this bachelor’s thesis the law institutes of contractual fine and delay interest are presented. Their legislation, common and different attributes as well as their mutual relation and impact are characterised. The first chapter deals with detailed characterisation of contractual fine that is a significant and wide-spread security device to contractual relationships. The chapter is divided into sub-chapters that include comprehensive description of functions, necessities and properties of the contractual fine. Comparison of legislation concerning contractual fine in the Civil Code and Commercial Code is given in the first chapter, too. In the second chapter characterisation of delay interest is presented. In addition to entitlement to delay interest, its amount agreed by contractual parties or amount provided by law, limitation and maturity conditions are described here. Finally, in the third chapter the relation between these two law institutes is analysed, concerning the conditions when they act simultaneously, and the problems the concurrence can cause in practice. The chapter also offers mutual comparison of properties of contractual fine and delay interest.

Abstract:

Bakalárska práca sa zaoberá právnymi inštitútmi, ktorými sú zmluvná pokuta a úroky z omeškania. Charakterizuje ich právnu úpravu, spoločné i rozdielne črty, ako aj ich vzájomný vzťah a pôsobenie. Prvá kapitola podrobne charakterizuje zmluvnú pokutu, ktorá je významným a rozšíreným zabezpečovacím prostriedkom záväzkových vzťahov. Je rozdelená do podkapitol, ktoré bližšie popisujú jej funkcie, náležitosti, vlastnosti a porovnáva ich právne úpravy v Občianskom zákonníku a Obchodnom zákonníku. Druhá kapitola sa venuje charakteristike úrokov z omeškania. Popisuje vznik nároku na ne, ich výšku dohodnutú stranami či stanovenú zákonom, jej limitáciu a podmienky splatnosti. Na záver je v tretej kapitole analyzovaný vzťah týchto dvoch právnych inštitútov, podmienky, za ktorých pôsobia súčasne, a problémy v ich vzťahu, ktoré tento súbeh môže spôsobiť v praxi. V kapitole je uvedená aj vzájomná komparácia vlastností zmluvnej pokuty a úrokov z omeškania.
