Tato diplomová práce je zaměřena na povahu a vady rozhodnutí orgánu obchodní korporace dle současné právní úpravy. Práce je rozčleněna na dvě základní části. První část zkoumá současné pojetí povahy rozhodnutí, a to mimo jiné i s přihlédnutím k dřívějším teoretickým i judikaturním závěrům, které současné pojetí do jisté míry napomohly formovat.
