Abstract:

Tématem diplomové práce jsou Special purpose entities, jež jsou zakládány za jasně specifikovanými účely. Práce zprvu pojednává o základních charakteristikách SPEs, z nichž je stěžejní ochrana před bankrotem, o způsobech užití SPEs a rovněž o aspektech, jež motivují původce k založení těchto entit a jež motivují investory ke koupi cenných papírů, které tyto entity emitují. Dále práce nabízí přehled základních struktur, v nichž SPEs figurují, přičemž je věnován prostor jak strukturám užívajícím sekuritizaci aktiv, tak strukturám užívajícím sekuritizaci pasiv. Následující kapitola je věnována užití SPEs již neexistující společností Enron a související problematice zachycení konsolidace a SPEs v účetních standardech US GAAP a rovněž IFRS. Práce je završena případovou studií, která propojí některé dříve diskutované aspekty, a to motivaci pro užití SPEs (konkrétně regulatorní arbitráž) a vliv účetních standardů na motivaci pro užití SPEs.

Abstract:

The topic of this diploma thesis are Special purpose entities, which are created for a specific purpose. The thesis introduces the basic characteristics of SPEs, of which bankruptcy remoteness is the most important, different ways of using SPEs and also the aspects, which motivate the originators to set up an SPE and which motivate the investors to buy the securities issued by the SPEs. Further, the thesis provides an overview of the structures, in which the SPEs play a role. Specifically, it covers the structures using the securitization of assets and also the structures using the securitization of passives. The following chapter focuses on the use of SPEs by Enron and the related issue of consolidation and SPEs in the accounting standards US GAAP and IFRS. The thesis is completed with a case study, which connects the discussed aspects of the motivations to use SPEs (specifically the regulatory arbitrage) and the influence of the accounting standards on the motivation to use SPEs.
