Selected Topics regarding the Obligation of a Public Limited Company to Pay Dividends

Abstract:

Autor se v diplomové práci zabývá vybranými otázkami týkajícími se výplaty podílu na zisku v akciových společnostech, které vznikají a mohou vznikat v souvislosti s právní úpravou obsaženou v zákoně č. 90/2012 Sb., o obchodních společnostech a družstvech. Autor této práce objasňuje nejen pojem práva na podíl na zisku ve světle ZOK, ale provádí detailní analýzu možných modifikací práva na podíl na zisku při využití jednotlivých tzv. zvláštních druhů akcií. Dále se autor v práci věnuje míře závaznosti ujednání týkajících se omezení výplaty podílu na zisku v akciových společností vůči akcionářům a třetím osobám v závislosti na jejich charakteru. Závěrečná kapitola práce je věnována problematice týkající se ponechání zisku akciové společnosti. Cílem práce je nejen definovat znaky vyplývající z dosavadní právní praxe, judikatury a doktríny při jejichž splnění, si společnost může ponechat nerozdělený zisk akciové společnosti, ale i vytvořit závazná pravidla, popřípadě kritéria, která budou nejen determinantem, ale i argumentačním podkladem pro nerozdělení zisku akciové společnosti.

Abstract:

The author of the thesis deals with selected issues related to the payment of dividends in joint-stock companies, which are arising and may arise in association with the legal regulation contained in Act No. 90/2012 Coll., on Commercial Companies and Cooperatives. The author of the thesis explains not only the concept of the right of a shareholder to recieve the dividend in the light of Commercial Code, but also pursues a detailed analysis of possible modifications of the right to recieve dividend by using the special classes of shares. Furthermore, the author deals with the scope of bindigness of the arrangements concerning the limitation of the right of shareholders and third parties to recieve a dividend in joint-stock companies, depending on their different nature. The final chapter of the thesis is devoted to the issue of retaining the dividends. The aim of the thesis is not only to define the elements resulting from the previous legal practice, the judicial decision and the doctrine by its fulfillment can the company retain the dividends, but also to create binding rules or criteria which will be not only a determinant, but also an argumentation for retaining the dividends.
