Statutory and Contractual Instruments of Control over Shares’ Transferability

Abstract:

Tato diplomová práce analyzuje nástroje, které mohou akcionáři a/nebo společnost využít ke kontrole převoditelnosti akcií a tím i akcionářské skladby, a jejich limity. Na základě zkoumání teoretických základů tradičních nástrojů známých v common law a jejich následné praktické aplikace do českého právního řádu se tato práce zabývá účinky vybraných omezení vyplývajících zejména ze statutární nebo smluvní povahy kontrolního nástroje. Jednou z hlavních otázek je, zda může mít i smluvní ustanovení akcionářské dohody věcně-právní účinky. Můj výzkum mě přivádí k závěru, že i smluvní nástroje mohou mít za určitých podmínek účinek vůči třetím stranám; akcionáři se však stále budou muset rozhodnout, zda upřednostní důvěrnost či širší praktickou vynutitelnost svých dohod.

Abstract:

This diploma thesis analyses instruments that the shareholders and/or a company may use to control the shares’ transferability and the shareholding structure, and their limits. Based on a research of theoretical background of typical common law instruments and its implementation under Czech law, this thesis analyses the effect of selected restrictions resulting from a statutory or contractual nature of such restrictions. One of the main questions is whether a contractual clause of a shareholders’ agreement may have in rem effects. My research leads to me a conclusion that even contractual instruments may under certain circumstances be effective towards third parties; however, shareholders still must choose between confidentiality or wider enforceability of their arrangements.
