Descriptive analysis of transformations carried out in the Czech Republic

Abstract:

Práce představuje podobu přeměn v České republice. Nejdříve představí pravidla a možnosti průběhu přeměn, přičemž vychází z legislativních požadavků, zejména se zaměřením na účetní a daňovou problematiku. Těžištěm práce je pak analýza sebraných dat k zadanému vzorku transakcí a zhodnocení jejich vlastností. Tato analýza vycházející ze zadaného vzorku 197 transakcí zveřejněných v obchodním věstníku byla zaměřena na přeměny obchodních korporací uskutečněné v roce 2016. Její výsledky byly následně porovnány se zjištěními podobně zaměřených prací a dříve představenými legislativními požadavky. Mezi zjištěními jsou vysoká zastoupení fúzí a odštěpení, převaha transakcí o dvou obchodních korporacích, vysoké zastoupení metody substančního ocenění, častá absence zveřejnění zahajovacích rozvah a další. Výsledkem porovnání byla zpravidla vysoká podobnost zjištění. Závěrem praktické části byla blíže zkoumána vybraná transakce v kontextu účetních a daňových souvislostí.

Abstract:

The thesis introduces transformations of companies in the Czech Republic. In the beginning it describes rules and variants of transformation procedures based on legislative demands, mainly the accounting and tax matters. The main focus of the thesis is on analysis of collected information to given sample of transactions and evaluation of its properties. The analysis is based on set sample of 197 transformations published in the Commercial Bulletin in the Czech Republic and focuses on those finished in 2016. The outcomes of the analysis are then compared to outcomes of theses of similar topics and law requirements presented before. The results are high percentage of mergers and spin-offs, the majority of transactions involving two business corporations, high percentage of use of the substantive valuation method, the frequent absence of disclosure of balance sheet, and others. The result of the comparisons of sample properties was usually a high similarity with the other theses. In the end of the practical part there was a closer examination of a selected transformation in the context of accounting and tax issues.
