Abstract:

Předmětem této práce je analýza možností přeshraniční mobility společností napříč různými jurisdikcemi. Pozornost je věnována především kolizněprávní problematice. Práce se zaměřuje na dvě hlavní kritéria, která se prosadila na evropském území kritérium inkorporace a kritérium sídla. Jedná se o dva přístupy vedoucí k odlišným důsledkům, které mají zásadní vliv na určení rozhodného práva společností. Práce je rozdělena do sedmi hlavním kapitol, které se následní dělí na podkapitoly. Kapitoly jsou řazeny za sebe od úvodu do problematiky, po vymezení základních pojmů, následují jednotlivé právní formy společností na našem území s ohledem na jejich historický vývoj, úpravu osobního statutu společnosti v České republice a historické okolnosti a předposlední část této práce se věnuje společnostem a jejich úpravě evropským právem s důrazem na pojem svobody usazování a jeho výkladu Soudním dvorem Evropské unie.

Abstract:

The main goal of this thesis is to analyze the possibilities of cross-border mobility of companies across different jurisdictions. Attention is paid mainly to conflict of law issues. The thesis focuses on the two main criteria that have been applied in the Europe - the criterion of incorporation and the criterion of the real seat. These are two approaches leading to different consequences, which have a major impact on determining the applicable corporate law. The thesis is divided into seven main chapters, which are divided into sub-chapters. The chapters are classified after the introduction of the basic concepts, comes the individual legal forms of companies in our territory with regard to their historical development, then the regulation of the personal status in the Czech Republic and the historical circumstances, after this section comes the penultimate part of this thesis dealing with the companies and their modification by European law, with an emphasis on the term of freedom of establishment and its interpretation of the Court of Justice of the European Union.
