Commercial companies, interest grouping and cooperatives of European type

Abstract:

Tato bakalářská práce se zabývá problematikou evropských obchodních společností, mezi které patří evropské hospodářské zájmové sdružení (EHZS), evropská akciová společnost (SE) a evropská družstevní společnost (SCE). První kapitola je věnována historickému vývoji těchto nadnárodních společností a také účelu jejich vzniku. Na současnou úpravu jednotlivých evropských obchodních společností je zaměřena druhá kapitola, která obsahuje informace o aplikovatelném právu, založení a vzniku, členství a právech a povinnostech s ním spojených, finanční struktuře, sídle, vnitřní organizační struktuře, hospodářském výsledku a zrušení a zániku. Cílem této práce je především přehledně popsat evropské obchodní společnosti, určit výhody, které přinášejí a důvody, proč se v České republice příliš nezakládají.

Abstract:

This bachelor publication concerns problems of European commercial companies, namely European Economic Interest Grouping, Societas Europaea and European Cooperative Society. The first chapter deals with the historical progress of these supranational companies and also the purpose of their formation. The second chapter is aimed at the contemporary arrangement of individual European commercial companies, including information about amenable law, foundation and origin, membership and rights and obligations combined. Furthermore there is information about financial structure, inner self-organization, residence, economic results and also information about their annulment and downfall. Main aim of this work is to describe European commercial companies in the synoptic way and to determine advantages of these companies and to explain reasons why these companies are constituted in the Czech Republic rarely.
