International Licensing Agreement

Abstract:

Diplomová práce se zabývá právním režimem licenční smlouvy s mezinárodním prvkem, její kolizní úpravou i perspektivami případné unifikované úpravy hmotněprávní. Zkoumá vliv mezinárodně kogentních norem na rozsah volby práva a použití práva rozhodného. Zaměřuje se na přístupy určování rozhodného práva při neexistenci jeho volby pomocí vhodného náhradního hraničního určovatele v návaznosti na problematiku tzv. nejužšího vztahu. Hodnotí též dopad veřejnoprávních norem, především z oblasti soutěžního práva, na dovolenost některých restriktivních ujednání v mezinárodních licenčních smlouvách, specielně tzv. exkluzivní licence, a to zejména ve světle ust. čl. 81(1) SES a relevantní judikatury ESD.

Abstract:

The diploma thesis deals with international licensing agreement and its legal regime, the conflict of laws regulation and the perspectives of hypothetical internationally harmonized direct regulation. It attends in detail to the extent of choice of law and its limitation. It also focuses on the influence of international mandatory rules on exercise of applicable law. It adverts to difficulties with qualification of the international license agreement and its contemporary solution. Furher it focusses on the issue of substitutionary bordering determinant in case of absence of a law-choice and the concept of the specific performance in conjuction with the close connection doctrine under Art. 4(1) of the Rome Convention. Last but not least it evaluates the influence of the public law rules on international licensing contracts in the quality of vertical agreements by the means of law on competition and anti-trust statutes, especially the Art. 81(1) of the EC establishing Treaty.
