Legal Entities - Comparison of Original Legislation Under Old Civil Code (Act. No. 40/1964 Coll.), Under Commercial Code (Act. No. 513/1991 Coll.) and New Legislation Under New Civil Code (Act. No. 89/2012 Coll.)

Abstract:

Bakalářská práce se zabývá rozdíly mezi dřívější a dnešní právní úpravou právnických osob a to konkrétně komanditní společnosti. Cílem mé práce je zjistit jakým směrem se změny ubíraly a jaký byl jejich dopad na členy komanditní společnosti. Teoretická část mé práce se zabývá postupným rozborem právních úprav od právnické osoby obecně až po detailní rozbor úprav společnosti komanditní. Rozebírám vždy jak předešlou právní úpravu dle starého občanského zákoníku a obchodního zákoníku a až poté dle nového občanského zákoníku a zákona o obchodních korporacích. Praktická část mé práce se zaměřuje na porovnání jednotlivých ustanovení, která řeší problematiku komanditní společnosti. V mé práci se mi v právních úpravách společností podařilo najít několik zásadních a více menších rozdílů. Na základě těchto zjištěných rozdílů je možné si udělat představu o změnách, které postihly komanditní společnost.

Abstract:

The bachelor thesis deals with the differences between the former and the present legislation pertaining to legal entities, namely to limited partnership. The aim of my thesis is to find out in what direction the changes were going and what their impact on the members of the limited partnership has been. The theoretical part of my thesis is focused on legal regulations from legal entities in general to a detailed analysis of the limited company legislation. In each case I analyze previous legal regulations under the original Civil Code and the Commercial Code, and later those under the New Civil Code and the Business Corporations Act. The practical part of my thesis focuses on the comparison of the individual provisions dealing with the issues of the limited partnership. In my thesis, I have managed to find several fundamental and some minor differences in the legal regulations pertaining to companies. Based on these differences it is possible to imagine the changes that have affected limited partnership.
