Proceeding Entrepreneur under the new Civil Code

Abstract:

Diplomová práce se zabývá problematikou jednání podnikatele dle právní úpravy účinné od 1. ledna 2014 a má za cíl analyzovat jednotlivé způsoby jednání v kontextu rekodifikace soukromého práva v ČR. Práce se zaměřuje nejen na přímé jednání podnikatele (zvláště se zabývá novým pojetím – provozováním obchodního závodu nezletilým), ale i na rozbor jednotlivých způsobů zastoupení (zákonné zastoupení, opatrovnictví a smluvní zastoupení). Práce dále pojednává o obchodním zastoupení podnikatele – prokuře a o některých otázkách týkajících se jednání podnikatele ve zvláštních situacích (jednání právnické osoby před jejím vznikem, jednáním právnické osoby v likvidaci a jednání za podnikatele v úpadku).

Abstract:

The diploma thesis deals with the proceeding entrepreneur according to the legislation effective from January 1, 2014 and it aims to analyze the different ways of proceeding entrepreneur in the context of recodification of czech private law. The work focuses not only on the direct conduct of entrepreneurs (it particularly deals with the new conception – the operation of business establishment by minors), but also on the analysis of the various methods of representation (statutory representation, trusteeship and contractual representation). The thesis also discusses the commercial representation of entrepreneur – procuration and certain issues relating to the proceeding entrepreneur in the specific circumstances (the conduct of legal entity before the creation, the conduct of legal entity in the process of liquidation and the conduct of entrepreneurs in bankruptcy).
