Right to Appoint Directors of Stock Companies

Abstract:

Vysílací právo v akciové společnosti spočívá v oprávnění akcionáře jmenovat na základě svého rozhodnutí člena představenstva anebo dozorčí rady, eventuálně správní rady, a takto jmenovaného člena odvolat. Tato práce se zabývá institutem akcií s vysílacím právem. Jedná se o zvláštní druh akcií, který je v českém právním prostředí novinkou od roku 2021. Práce uvádí, jaké jsou specifické předpoklady realizace vysílacího práva spojeného s akcií a popisuje proces realizace, včetně souvisejících mechanismů.

Abstract:

The right of appointment in a joint-stock company consists in the right of the shareholder to appoint, on the basis of his decision, a member of the Board of Directors or the Supervisory Board, and to dismiss the appointed member. This thesis analyses the institute of shares with the right of appointment. Shares with the right of appointment are a special type of shares in the Czech legal system since 2021. The thesis analyses what are the specific prerequisites for the implementation of shares with the right of appointment and describes the implementation process, including related mechanisms.
