Abstract:

Tato bakalářská práce se věnuje analýze společnosti s ručením omezeným se zaměřením na právní dispozici s podílem v této společnosti. Konkrétně se zabývá převodem tohoto podílu na třetí osobu a analyzuje možné vyskytující se problémy s převodem spojenými. Kromě analýzy zakladatelských dokumentů, analyzuje i účetní výkazy, rozvahu a výkaz zisků a ztrát v rámci metody due diligence z finančního pohledu na společnost. Dále analyzuje za pomoci Porterova modelu pěti sil a SWOT analýzy tržní hodnotu společnosti a v závěru hodnotí situaci společnosti včetně popisu samotného převodu a ručení převodce po převodu obchodního podílu. Po zhodnocení výsledků dochází k závěru, že konkrétní převáděná společnost neobsahovala žádné chyby ani z jednoho ze zkoumaných úhlů pohledu, ale v obecné rovině je tato situace spíše vzácná, než-li obvyklá a hodnotí všeobecnou informovanost nabyvatelů před nabytím obchodního podílu, jako velice nízkou, což vede k mnoha rizikům.

Abstract:

This bachelor thesis is focused on the analysis of a limited liability company with a focus on legal disposition with a share in this company. Specifically, it deals with the transfer of this share to a third party and analyzes possible concomitant transfer problems. In addition to the analysis of the founding documents, it analyzes the financial statements, the balance sheet and the profit-and-loss account by the due diligence method from the financial perspective of the company. It further analyzes the market value of the company with the help of Porter's model of Five Strengths and SWOT Analysis and, in conclusion, evaluates the company's situation, including the description of the transfer itself and the liability of the transferor after the transfer of the business share. After evaluating the results, it concludes that the particular transferred company didn´t contain any errors nor from one of the examined viewpoints, but generally this situation is rather rare than usual and evaluates the general awareness of the acquirers before the acquisition of a business share as very low, which leads to many risks.
