Stěžejní částí této práce bylo definovat teoretický rámec a analyzovat právní úpravu fiduciárních povinností a odměňování manažerů v obecné rovině. V praktické části této diplomové práce je detailněji analyzována kauza Walt Disney a rozebrána klíčová soudní rozhodnutí obou instancí. The key part of this work was to define the theoretical framework and analyze the legal regulation of fiduciary duties and remuneration of managers in general. In the practical part of this thesis, the Walt Disney case is analyzed in more detail and there are also analyzed the key court decisions of both instances.
