The Effect of Ownership Structure on Corporate Financial Performance in the Czech Republic

Abstract:

Otázky týkající se optimální vlastnické struktury jsou v centru pozornosti akademiků zabývajících se corporate governance již déle než 80 let, nicméně doposud nebylo jednoznačně prokázáno, zda koncentrované vlastnictví zlepšuje, nebo naopak zhoršuje výkonnost podniku, či zda jsou tyto faktory vůbec systematicky provázané. V českém prostředí je kvůli nedostatku aktuálních studií tato problematika ještě nejasnější. Cílem této práce bylo tedy analyzovat efekt koncentrace vlastníků na finanční výkonnost českých podniků, k čemuž využívá dat o více než 5000 českých středně velkých a velkých podnicích. Výzkum odhalil, že existuje negativní vztah mezi těmito veličinami, který je sice slabý, ale statisticky významný. Tento výsledek nese značné implikace pro vlastníky a manažery, kteří by ho měli brát v zřetel při rozhodování o vlastnické struktuře a interních mechanismech corporate governance, i pro tvůrce politiky, kteří by měli podporovat legislativní rámec chránící menšinové vlastníky.

Abstract:

Although the matter of optimal ownership structure has been in the centre of corporate governance researchers for more than 80 years, academicians have not been able to provide conclusive answers to whether concentrated ownership improves or rather impairs corporate performance or whether these two factors are actually systematically related at all. The unfamiliarity with these issues is even more pronounced in the Czech environment, where there is a lack of up-to-date evidence. The aim of this thesis was therefore to analyse the effect of ownership concentration on corporate financial performance, as it manifests in Czech businesses. Data covering a sample of more than 5000 medium and large enterprises operating in the Czech Republic were studied, in order to describe the impact of ownership concentration, as well as other factors, on corporate performance. The research revealed that there in fact is a negative effect of this nature, which is weak, but statistically significant. Such a finding has several implications for business owners or managers, who should consider it when deciding upon the ownership structure or internal corporate governance mechanisms, and policy-makers, who need to advocate legal framework protecting minority shareholders.
