Abstract:

Diplomová práce Podnikatelský svěřenský fond se zabývá problematikou svěřenských fondů jakožto poměrně nového institutu v českém právním řádu sloužícího k nakládání s vyčleněným majetkem v budoucím období. Téma je zpracováno strukturovaně dle jednotlivých dílčích okruhů a autor práce napříč celým jejím rozsahem hledá odpověď na výzkumnou otázku, jaké jsou nedostatky právní úpravy podnikatelských svěřenských fondů? Hlavní témata se v souladu se zadáním a výzkumnou otázkou týkají oblasti zakládání a správy svěřenských fondů. Práce analyzuje různé aspekty, ale i úskalí, na které narazí zakladatelé, svěřenští správci i beneficienti svěřenských fondů. Dále jsou zpracovány rozdíly mezi svěřenskými fondy a vybranými obchodními korporacemi i otázka účetních a daňových povinností, které jsou nedílnou součástí činnosti výkonu svěřenské správy. Práci pak uzavírá komparitistika majetku vkládaného majetku do svěřenského fondu, kdy se autor snaží určit dělící hranici mezi podnikatelským majetkem a majetkem vkládaného za účelem udržení jeho hodnoty. V textu byla použita zejména analytická metoda, na jejímž základě je v závěru práce zodpovězena otázka týkající se stavu právní úpravy v předmětné oblasti a je uvažováno o zlepšeních právních norem, které by do oblasti svěřenských fondů přinesly větší stabilitu a právní jistotu.

Abstract:

The thesis Business Trust deals with the issue of trust funds as a relatively new institute in the Czech legal system used to manage earmarked assets in the future period. The topic is discussed in a structured manner by individual sub-areas, and the author’s aim throughout the thesis is to answer the following research question: What are the deficiencies in the legal regulation of business trust funds? In line with the assignment and the research question, the key topics concern the establishment and management of trust funds. The thesis analyses various aspects and challenges that the promoters, trustees and beneficiaries of trust funds encounter. It also addresses the differences between trust funds and selected business corporations, as well as the issue of accounting and tax obligations, which are an integral part of the trusteeship. The thesis is concluded by a comparison of assets invested in the trust fund, where the author attempts to find the dividing line between business assets and assets invested in order to maintain their value. The text used mainly the analytical method, based on which the question regarding the state of the relevant legislation is answered and improvements in legal rules that would bring greater stability and legal certainty to the area of trust funds are considered at the conclusion of the thesis.
