Abstract:

Tato diplomová práce se člení na 6 kapitol. První kapitolu tvoří úvod. Druhá kapitola se nazývá Historický exkurs a jejím hlavním účelem je poukázat na historický vývoj smluvní pokuty v římském právu, dále tato kapitola nastiňuje pojetí smluvní pokuty v právech městských, úpravu smluvní pokuty dle OZO a Všeobecného zákoníku obchodního, a zabývá se vývojem institutu smluvní pokuty od prvního občanského zákoníku, zákoníku mezinárodního obchodu, hospodářského zákoníku až k současné právní právě v OZ a ObchZ. Třetí kapitola je rozdělena do dvou částí. První část zkoumá teoreticko-judiciální pojetí smluvní pokuty v občanském a obchodním právu. Tato část se dále dělí do podkapitol, které pojednávají o pojmu smluvní pokuta; funkcích a akcesoritě smluvní pokuty; ujednání o smluvní pokutě; vzniku práva na smluvní pokutu, splatnosti smluvní pokuty, promlčení a zániku povinnosti k úhradě smluvní pokuty a vztahu smluvní pokuty k příbuzným institutům (především vztah smluvní pokuty k náhradě škody a úrokům z prodlení). Druhá část se zabývá praktickým pojetím smluvní pokuty. V rámci této části jsem vydal fiktivní rozsudek týkající se sporného případu vymáhání nepřiměřeně vysoké smluvní pokuty. Ve čtvrté kapitole nazvané Smluvní pokuta v NOZ je zhodnocena nová právní úprava smluvní pokuty v NOZ. Pátá kapitola se zabývá komparací smluvní pokuty s jinými právními řády. V rámci této kapitoly je podán výklad o pojetí smluvní pokuty v Rusku, Francii a Anglii. Závěrečná kapitola shrnuje poznatky vyplývající z této diplomové práce.

Abstract:

The theme of this thesis is liquidated damages. The thesis is divided into six main parts. The first part is called Introduction, where the main reasons why I have chosen this topic are described. The second part is dedicated to a historical development of liquidated damages. The third part makes a real basement of the thesis. This chapter is divided into two parts. In the first part I have tried to explain a position of the liquidated damages in both civil and commercial law. The concept of liquidated damages, functions of liquidated damages, liquidated damages clauses, reasonable amount of liquidated damages, reduction of liquidated damages by a court, defects of liquidated damages clauses, realation of liquidated damages and interests on late payments, etc., are discussed in this part. In the second part of third chapter I focused on application of findings arising from the first part and I have delivered a judgement. The following chapter is devoted to the new Civil Code of the Czech republic that becomes effective 1st January 2014. In this chapter I have highlighted main changes relating to liquidated damages clauses. The following discussion is devoted to a comparison with selected countries. In this chapter I have chosen three countries - Russia, France and England, and I have compared a concept of liquidated damages in these countries. The last chapter is called conclusion. This chapter contains the most important findings arising from the whole thesis.
