Suretyship in Slovak legal system

Abstract:

Bachelor thesis deals with the Civil and commercial guarantee in the Slovak legal system and specify the bank guarantee. The first chapter we will try to specify the rules of garantee in commercial and civil adjustment. It defines the content, origin, terms and termination guarantee. We introduce a detailed Contracting Parties of the Civil and commercial guarantee and bank guarantee. Currently guarantee as hedging instrument used almost everywhere around us. Mostly we can observe where they are primarily money or where it is necessary to guarantee the fulfillment, specific commitment. This guarantee can be observed in the business sector. In this work we will also try to point out hedging instrument, which is close enough to guarantee, and the bank guarantee. The bank guarantee - creation, operation in practice, and the formalities will generally write in the third chapter. In the fourth chapter we look at the comparison of guarantee with a bank guarantee. We describe of which are composed, we specify in detail and analyze their advantages and disadvantages in practice.

Abstract:

Bakalárska práca sa zaoberá ručením v slovenskom právnom poriadku a bližšie popisuje bankovú záruku. V úvodných kapitolách sa budeme snažiť špecifikovať právnu úpravu ručenia v obchodnoprávnej a občianskoprávnej úprave. Priblížime si hlavne obsah, vznik, náležitosti a zánik ručenia. Predstavíme si podrobnejšie zmluvné strany ručenia a bankovej záruky. V súčasnosti sa ručenie ako zabezpečovací inštitút využíva takmer všade okolo nás. Zväčša ho môžeme spozorovať tam, kde sú predovšetkým peniaze alebo kde treba zaručiť splnenie, určitého záväzku. Takého ručenie môžeme spozorovať väčšinou napríklad medzi podnikateľmi. V práci sa taktiež budeme snažiť poukázať na zabezpečovací inštitút, ktorý má dosť blízko k ručeniu, a tým je banková záruka. O bankovej záruke - vzniku, fungovaní v praxi o jej náležitostiach budeme všeobecne písať v tretej kapitole. V štvrtej kapitole nahliadneme na komparáciu ručenia s bankovou zárukou. Popíšeme si z čoho sa skladajú užšie ich špecifikujeme a podrobne analyzujeme ich výhody a nevýhody v praxi.
