Abstract:

Téma diplomové práce je mezinárodní obchodní zastoupení. Práce se skládá ze čtyř hlavních částí, které se podrobněji zabývají vymezenou problematikou. První kapitola pojednává o mezinárodních obchodních operacích, soutěžním právem ES, jednotným vnitřním trhem ES a mezinárodním obchodním při obchodnívh operacích. Druhá část se zabývá stěžejní problematikou, obchodním zastoupením. Zde je rozebrána směrnice 86/653/EHS a mezinárodní úmluvy týkající se zastoupení, rovněž také rozdílnosti v některých vnitrostátních právních řádech. Vedle této úpravy je zde také rozebrána samotná smlouva o obchodním zastoupení dle vzoru MOK v Paříži. Třetí kapitola pojednává o rozdílech mezi obchodním zastoupení a distribucí v nmezinárodním obchodu a rozdíly ve vzájemných povinnostech mezi dodavatelem a odběratelem. Ve čtvrté části jsou sshrnuta možná doporučení pro mezinárodní obchodní jednání a pro podnikatele vstupující nebo již působící na zahraničních trzích. Práce je zakončena závěrem.

Abstract:

The theme of this diploma work is The International Commercial Representation. The work contains four basic chapters which include the more detailed analysis. The first chapter is called as International trade transactions, there are briefly discribed the trade transactions, the European competion law and rules of the European markt and the international trade deal. The second chapter deals with Commercial representation / commercial agency where are analysed the rules of commercial representation (directive 86/653, international pacts, different national rules) and the contract of representation/ contract of agency which adjusts the relationship between principal and agent. In the third chapter is said about differnces from distributorship and the contract. The fourth chapter deals with the recommendations for praxis and the businessmen which want to enter the foreign markt. The diploma work is ended with conclusion.
