Abstract:

Práce se zabývá vlivem oznámení o fúzi či akvizici na tržní kapitalizaci nabyvatelské společnosti v odvětví letecké přepravy. Pomocí matematicko-statistického modelu je kvantifikována abnormální změna ceny akcie, která byla zapříčiněná konkrétní událostí. V první části je zkoumán celkový trend na trhu Evropských aerolinií, jehož výstupem je posouzení, jak na oznámení v průměru reagovaly všechny nabyvatelské aerolinie v EU. Trend je následně vysvětlen a podložen informacemi kvalitativní povahy. Práce v druhé části detailně analyzuje vybrané případové studie. Dle teorie efektivních trhů by cena akcie měla reflektovat diskontovaný budoucí výnos a cenové pohyby by měly anticipovat budoucí dění ve společnosti. Pakliže je oznámení o akvizici spojeno s kladnými abnormálními výnosy, má se za to, že akcionáři vnímají plánovanou transakci za hodnototvornou a pro společnost prospěšnou. V rámci případových studií je tato teorie podrobena bližšímu zkoumání. Finálním výstupem je posouzení, jak se ve vybraných případech změnila tržní kapitalizace nabyvatelské společnosti, a následně je zpětně vyhodnoceno, jaký konkrétní vliv na vývoj společnosti daná akvizice měla.

Abstract:

This diploma thesis examines the impact of a merger or acquisition announcement on the market capitalization of the acquiring company in the European aviation sector. Using a mathematical-statistical model, an abnormal change in the share price caused by a specific event is quantified. In the first part of the thesis, the cumulative average abnormal return of the entire European aviation market is examined. Subsequently, the findings are explained by qualitative information support and examining possible motivations. In the second part of the thesis, two case studies are explored in detail. According to the Efficient Market Hypothesis, current stock price anticipates discounted future earnings. If the acquisition announcement is associated with positive abnormal returns, shareholders are considered to perceive the planned transaction as valuecreating and beneficial for the company. In published case studies, this theory is examined in more detail. Finally, it is assessed how the market capitalization of the acquiring company has changed, and then it is evaluated what effect the acquisition had on the company's development.
