Legal Effects of the Share Transfer Agreement And Issues Related to the So-Called Non-notified Transfer

Abstract:

Tato diplomová práce se zaměřuje na vymezení jednotlivých druhů účinků spojených s převodem podílu ve společnosti s ručením omezeným s důrazem na časové hledisko jejich nástupu a s tím spojené dopady. U účinků je rozlišen jejich nástup ve společnosti s ohledem na to, zda je účinnost smlouvy o převodu obchodního podílu podmíněna souhlasem některého z orgánů či nikoliv. Práce se věnuje teoretickým i praktickým otázkám tzv. nenotifikovaných převodů obchodního podílu v kontextu vztahů mezi korporací, společníkem a vlastníkem podílu.

Abstract:

This thesis focuses on the definition of the individual types of effects associated with the transfer of a share in a limited liability company with an emphasis on the timing of their onset and the associated effects. The effects are distinguished with regard to their onset in the company with regard to whether the effectiveness of the share transfer agreement is conditional on the consent of one of the bodies or not. The thesis deals with theoretical and practical issues of the so-called non-notified transfers of business shares in the context of rela-tions between the corporation, the shareholder and the owner of the share.
